Terms and Conditions

Unless the context otherwise requires:

• headings are included for convenience only and do not affect interpretation;
• words importing the singular include the plural and vice versa;
• references to one gender include all genders;
• the words "including", "includes", and "such as" shall be interpreted as "including without limitation";
• references to any law include any amendment, modification, replacement, or re-enactment thereof.

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Acarya Labs ("Acarya Labs", "Company", "we", "our", or "us") governing your access to and use of the Platform and all Services provided by Acarya Labs.

By accessing, browsing, registering for, subscribing to, purchasing, downloading, installing, or otherwise using any part of the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, our Privacy Policy, Cookie Policy, Community Guidelines, and any additional policies or guidelines published by Acarya Labs from time to time.

If you do not agree to these Terms, you must immediately discontinue all access to and use of the Platform.

Your use of the Platform creates a legally enforceable contract between you and Acarya Labs under applicable laws. These Terms govern your rights, obligations, and responsibilities while using any Service provided by Acarya Labs.

If you are using the Platform on behalf of a company, educational institution, government body, organization, or any other legal entity, you represent and warrant that you have the legal authority to bind that entity to these Terms. In such cases, references to "you" shall include both the individual using the Platform and the entity on whose behalf the Platform is used.

By accepting these Terms, you represent and warrant that:

• you are at least eighteen (18) years of age or have reached the age of majority under the laws applicable to you; or
• if you are under eighteen (18) years of age, you are using the Platform only with the consent and supervision of your parent or legal guardian;
• you have the legal capacity to enter into a binding agreement;
• you are not prohibited by any applicable law from using the Platform or Services; and
• all information provided by you is true, accurate, current, and complete.

Acarya Labs reserves the right to request proof of age, identity, parental consent, institutional authorization, or any other information necessary to verify eligibility.

Acarya Labs reserves the right, at its sole discretion, to modify, amend, update, replace, or revise these Terms at any time to reflect changes in applicable law, business practices, technology, security requirements, or the Services offered.

Updated Terms become effective immediately upon publication on the Platform unless otherwise specified.

Where required by applicable law, Acarya Labs may provide notice of material changes through email, dashboard notifications, or other reasonable means.

Your continued access to or use of the Platform after revised Terms become effective constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must immediately stop using the Platform and discontinue all Services.

Certain Services may be governed by additional terms, policies, guidelines, licensing agreements, or community standards published by Acarya Labs. Such additional documents are incorporated into these Terms by reference and shall form an integral part of this Agreement.

In the event of any inconsistency between these Terms and any Service-specific terms, the Service-specific terms shall prevail solely with respect to that Service.

You acknowledge and agree that your acceptance of these Terms through electronic means, including but not limited to clicking an "I Agree," "Accept," "Continue," "Sign Up," "Register," "Purchase," or similar button, creating an account, accessing the Platform, or otherwise using any Service, constitutes your legally valid electronic signature and has the same legal force and effect as a handwritten signature under applicable law.

You further agree that electronic records maintained by Acarya Labs shall constitute valid evidence of your acceptance of these Terms.

Acarya Labs reserves the absolute and unrestricted right, at its sole discretion and without prior notice, to refuse registration, deny access, suspend, restrict, terminate, or permanently disable any User account or access to the Platform where it reasonably believes that such action is necessary to protect the Platform, its Users, its intellectual property, its security, or its legal interests.

Nothing in these Terms shall be construed as creating an obligation on Acarya Labs to provide uninterrupted or permanent access to any Service.

To access or use the Platform or any Services provided by Acarya Labs, you must have the legal capacity to enter into a binding contract under the applicable laws of your jurisdiction. By accessing or using the Platform, you represent and warrant that you satisfy all eligibility requirements set forth in these Terms.

Acarya Labs reserves the right to verify your eligibility at any time and may request additional information or documentation to confirm your identity, age, authority, or eligibility to use the Platform.

Unless otherwise permitted by applicable law:

• Individuals who are eighteen (18) years of age or older may independently create and maintain an account on the Platform.
• Individuals below the age of eighteen (18) years may access or use the Platform only with the consent, supervision, and authorization of a parent or legal guardian.
• Parents and legal guardians are solely responsible for monitoring the activities of minors using the Platform and ensuring compliance with these Terms.

Acarya Labs reserves the right to suspend or terminate accounts if it reasonably believes that a user has provided false information regarding their age or has accessed the Platform without the required parental or legal authorization.

Students may use the Platform solely for lawful educational purposes, including but not limited to:

• accessing courses and educational materials;
• participating in assessments and quizzes;
• attending live or recorded classes;
• using AI-powered educational tools;
• communicating with authorized teachers;
• submitting assignments and academic work; and
• utilizing any other educational services provided by Acarya Labs.

Students agree to use the Platform honestly, responsibly, and in accordance with academic integrity standards established by their educational institution and these Terms.

Teachers, instructors, professors, mentors, tutors, trainers, educational institutions, and other educational professionals may register for educator accounts subject to verification and approval by Acarya Labs.

Acarya Labs may require submission of documents including, but not limited to:

• government-issued identification;
• educational qualifications;
• professional certifications;
• institutional affiliation;
• bank account details for payouts;
• tax-related information;
• contact information; and
• any additional documentation reasonably required for verification.

Approval of a teacher account is solely at the discretion of Acarya Labs. Submission of an application does not guarantee approval.

Acarya Labs reserves the unrestricted right to reject, suspend, revoke, or terminate any teacher account without prior notice where it determines that verification requirements have not been satisfied or where continued access may pose operational, legal, security, or reputational risks.

Schools, colleges, universities, coaching centres, government departments, corporate organizations, and other institutions may create institutional accounts only through an authorized representative possessing the legal authority to bind the institution to these Terms.

The institution shall remain responsible for:

• managing authorized users;
• ensuring compliance with these Terms;
• safeguarding institutional credentials;
• obtaining all necessary permissions from students, teachers, employees, or parents; and
• complying with all applicable educational and privacy laws.

You agree that all information submitted to Acarya Labs during registration or while using the Platform shall be true, accurate, complete, current, and not misleading.

You agree to promptly update any information that becomes inaccurate or outdated.

Providing false, misleading, incomplete, fraudulent, or impersonated information constitutes a material breach of these Terms and may result in immediate suspension or permanent termination of your account without prior notice.

You may not use the Platform if:

• your account has previously been suspended or terminated by Acarya Labs;
• you are prohibited by applicable law from using the Services;
• you intend to use the Platform for unlawful, fraudulent, harmful, or unauthorized purposes;
• you attempt to interfere with the security, integrity, or proper functioning of the Platform;
• you attempt to gain unauthorized access to Acarya Labs systems or third-party infrastructure; or
• your use of the Platform would violate any applicable law, regulation, court order, or contractual obligation.

Acarya Labs may refuse registration or deny access to any individual or organization at its sole discretion.

Acarya Labs reserves the right, at any time and without prior notice, to request documentation necessary to verify the identity, age, educational status, institutional affiliation, payment details, or authority of any User.

Failure to provide requested documentation within the specified timeframe may result in suspension, restriction, or permanent termination of access to the Platform.

Users shall access and use the Platform only in compliance with all applicable local, state, national, and international laws, regulations, governmental orders, educational policies, export control laws, sanctions, and data protection requirements.

Users are solely responsible for ensuring that their use of the Platform is lawful within their jurisdiction.

Acarya Labs reserves the absolute right, at its sole discretion and without prior notice, to determine whether any individual, institution, or organization satisfies the eligibility requirements for using the Platform.

Nothing contained in these Terms shall be construed as creating any obligation on Acarya Labs to provide access to any person or entity. Acarya Labs may refuse registration, suspend, restrict, or permanently terminate access to the Platform at any time where it reasonably determines that continued access is inconsistent with these Terms, applicable law, Platform security, business operations, or the legitimate interests of Acarya Labs.

To access certain features or Services offered by Acarya Labs, you may be required to create and maintain a registered account ("Account"). During registration, you agree to provide complete, accurate, current, and truthful information and to keep such information updated at all times.

Acarya Labs reserves the right to refuse registration, reject any application, or require additional verification before activating an Account.

Creating an Account does not guarantee approval or continued access to the Platform or any specific Service.

Acarya Labs may permit Users to create an Account through one or more of the following authentication methods:

• Email and Password
• Google Sign-In (OAuth)
• Single Sign-On (SSO)
• Educational Institution Login
• Mobile Number Verification
• Magic Link Authentication
• Any other authentication method introduced by Acarya Labs from time to time.

Acarya Labs reserves the right to modify, add, or remove any authentication method without prior notice.

You represent and warrant that:

• all registration information is accurate and complete;
• you are the lawful owner or authorized user of the email address, mobile number, or identity used during registration;
• you will promptly update your information whenever it changes;
• you will not impersonate another person, organization, institution, or entity; and
• you will not use false, misleading, fraudulent, or stolen information.

Providing false or misleading information constitutes a material breach of these Terms and may result in immediate suspension or permanent termination of your Account.

Acarya Labs may require identity verification before granting access to certain Services. Verification may include, without limitation:

• government-issued identification;
• email verification;
• mobile number verification;
• educational qualifications;
• institutional affiliation;
• professional certifications;
• address verification;
• payment verification;
• bank account verification for teacher payouts; or
• any additional documentation reasonably requested by Acarya Labs.

Acarya Labs reserves the sole and absolute discretion to approve, reject, suspend, or revoke verification at any time.

Teacher accounts are subject to additional verification procedures to maintain the integrity and quality of the Platform. Teachers may be required to submit:

• government-issued photo identification;
• educational qualifications and certificates;
• professional experience;
• institutional affiliation;
• tax information;
• bank account details;
• profile photograph;
• supporting documentation; and
• any additional information requested by Acarya Labs.

Approval of a Teacher Account is entirely at the discretion of Acarya Labs and may be withdrawn at any time without prior notice.

You are solely responsible for maintaining the confidentiality and security of your Account credentials, including:

• usernames;
• passwords;
• authentication codes;
• one-time passwords (OTPs);
• recovery codes;
• security questions;
• API keys;
• session tokens; and
• any other authentication credentials.

You agree not to disclose your credentials to any third party or permit any other person to access your Account.

You are solely responsible for all activities conducted through your Account, regardless of whether such activities were authorized by you.

All actions performed through your Account shall be deemed to have been performed by you unless otherwise required by applicable law.

Acarya Labs shall not be liable for any loss arising from unauthorized use of your Account resulting from your failure to maintain adequate security.

You must immediately notify Acarya Labs if you become aware of:

• unauthorized access to your Account;
• suspected credential theft;
• loss of authentication devices;
• compromised passwords;
• phishing attempts;
• unusual account activity; or
• any other security incident affecting your Account.

Failure to promptly report such incidents may result in continued unauthorized access for which you may remain responsible to the extent permitted by applicable law.

Users are encouraged to create strong passwords consisting of uppercase letters, lowercase letters, numbers, and special characters.

Passwords should not be reused across multiple websites or shared with any other individual.

Acarya Labs may enforce minimum password strength requirements or require periodic password updates at its discretion.

Acarya Labs may require Multi-Factor Authentication (MFA), Two-Factor Authentication (2FA), biometric authentication, hardware security keys, or additional security measures for certain Accounts or Services.

Where such security measures are required, continued access to the Platform may depend upon successful completion of the applicable authentication process.

Accounts are personal and non-transferable. Users shall not:

• share login credentials;
• permit multiple individuals to use a single Account;
• sell or transfer Accounts;
• rent or lease Accounts;
• create Accounts on behalf of another individual without authorization; or
• use another person's Account.

Acarya Labs reserves the right to suspend or permanently terminate any Account involved in unauthorized sharing or transfer.

Unless expressly authorized by Acarya Labs, Users may not create multiple Accounts to:

• bypass restrictions;
• avoid suspensions;
• obtain additional free trials or promotional benefits;
• manipulate Platform functionality; or
• engage in fraudulent activities.

Acarya Labs may merge, suspend, or permanently terminate duplicate Accounts at its sole discretion.

Acarya Labs reserves the unrestricted right, at its sole discretion and without prior notice, to suspend, restrict, deactivate, or permanently terminate any Account where it reasonably believes that:

• these Terms have been violated;
• false information has been provided;
• fraudulent or unlawful activity has occurred;
• the security or integrity of the Platform is threatened;
• unauthorized access has occurred;
• payment obligations have not been fulfilled;
• applicable laws require such action; or
• continued access is not in the best interests of Acarya Labs, its Users, or its business operations.

Suspension or termination may occur immediately and without prior notice.

Acarya Labs may provide account recovery procedures at its discretion.

Users may be required to provide sufficient proof of identity before Account access is restored.

Acarya Labs reserves the right to refuse account recovery where identity cannot be satisfactorily verified or where recovery may compromise Platform security.

To protect the Platform and its Users, Acarya Labs may implement security measures including, but not limited to:

• login monitoring;
• device verification;
• IP address analysis;
• geolocation checks;
• fraud detection systems;
• automated risk scoring;
• suspicious activity monitoring;
• CAPTCHA verification;
• rate limiting;
• session expiration;
• account lockout mechanisms; and
• other commercially reasonable security controls.

By using the Platform, you consent to such monitoring to the extent permitted by applicable law.

Acarya Labs reserves the absolute right to deny registration, suspend, restrict, deactivate, or permanently terminate any Account, or require additional security verification, whenever it determines that such action is necessary to protect the Platform, Users, intellectual property, business interests, or compliance with applicable law.

Nothing in these Terms shall be interpreted as guaranteeing the creation, approval, or continued availability of any Account or Service.

Acarya Labs is committed to maintaining a safe, secure, and high-quality educational environment for Students, Parents, Educational Institutions, and Teachers. To protect the integrity of the Platform, every individual applying for a Teacher Account may be required to complete a verification and onboarding process before being permitted to create, publish, sell, or deliver educational content or access educator-specific features.

Completion of the onboarding process does not create any employment, partnership, agency, franchise, joint venture, or contractual relationship between the Teacher and Acarya Labs.

To register as a Teacher on the Platform, you represent and warrant that:

• you are at least eighteen (18) years of age or have otherwise attained the legal age of majority under applicable law;
• you possess the necessary qualifications, expertise, certifications, licenses, or experience required to provide educational services;
• all information submitted during registration is accurate, complete, current, and truthful;
• you have the legal authority to provide educational content through the Platform; and
• your use of the Platform complies with all applicable laws, institutional policies, and professional standards.

Acarya Labs reserves the right to determine whether an applicant satisfies these eligibility requirements.

As part of the verification process, Acarya Labs may request one or more of the following documents or information:

• Government-issued photo identification;
• Passport, Aadhaar Card, PAN Card, Driving Licence, or other legally accepted identification;
• Educational qualifications, degrees, diplomas, or certificates;
• Professional licenses or certifications, where applicable;
• Institutional affiliation or employment details;
• Teaching experience or professional résumé;
• Profile photograph;
• Contact details;
• Permanent or correspondence address;
• Bank account details for payouts;
• Tax information;
• Business registration documents, where applicable; and
• Any additional documentation reasonably requested by Acarya Labs.

Submission of requested documentation does not guarantee approval.

Teacher applications may undergo manual or automated verification, including identity verification, document review, qualification assessment, fraud prevention checks, and other reasonable due diligence procedures.

Acarya Labs reserves the right to:

• approve or reject any application;
• request additional information or clarification;
• conduct interviews or further assessments;
• perform background or identity verification where permitted by law; and
• suspend the verification process until satisfactory information has been received.

Verification timelines are estimates only, and Acarya Labs does not guarantee approval within any specific timeframe.

Approval of a Teacher Account is granted solely at the discretion of Acarya Labs.

Acarya Labs is under no obligation to approve any application and may reject, suspend, or revoke approval without assigning any reason, to the extent permitted by applicable law.

No compensation shall be payable for rejected applications or delays in the verification process.

Approved Teachers agree to:

• maintain accurate and up-to-date profile information;
• provide educational content that is accurate, lawful, and respectful;
• conduct themselves professionally at all times;
• comply with applicable educational standards;
• avoid discriminatory, abusive, misleading, defamatory, or unlawful conduct;
• respect the intellectual property rights of others;
• maintain the confidentiality of student information;
• comply with all applicable privacy and child protection laws; and
• use AI-generated content responsibly and verify its accuracy before publication or distribution.

Teachers are solely responsible for the quality, legality, accuracy, and suitability of any educational material they provide.

Teachers shall maintain a professional relationship with Students, Parents, Institutions, and other Users. Teachers shall not:

• harass or intimidate Users;
• engage in discriminatory conduct;
• solicit payments outside the Platform where prohibited;
• provide false qualifications;
• impersonate another individual;
• upload unlawful or infringing material;
• misuse AI tools to generate misleading educational content;
• encourage academic dishonesty;
• communicate inappropriately with minors; or
• engage in conduct that could harm the reputation or integrity of Acarya Labs.

Acarya Labs reserves the right to investigate complaints relating to professional conduct.

Teachers retain ownership of educational content created by them, subject to the license granted under these Terms. Teachers represent and warrant that:

• they own or have obtained all necessary rights to the content they upload;
• the content does not infringe any copyright, trademark, patent, privacy, publicity, or other proprietary rights;
• the content is suitable for educational purposes; and
• the content complies with all applicable laws.

Acarya Labs reserves the right to remove or restrict access to any content that violates these Terms or applicable law.

Teachers may use AI-powered tools provided by Acarya Labs to assist in creating educational materials, including lesson plans, quizzes, summaries, assessments, explanations, translations, presentations, and other academic resources.

Teachers acknowledge and agree that:

• AI-generated content may contain inaccuracies, omissions, outdated information, or unintended biases;
• all AI-generated content must be independently reviewed, verified, and approved by the Teacher before publication or use;
• Teachers remain solely responsible for all educational content published under their accounts; and
• Acarya Labs does not guarantee the correctness, completeness, or educational suitability of AI-generated content.

Where Teachers are eligible to receive payments through the Platform, they shall provide complete and accurate banking and tax information.

Teachers are solely responsible for ensuring that payout details remain accurate.

Acarya Labs shall not be liable for delayed, rejected, or failed payments arising from inaccurate, incomplete, outdated, or incorrect banking or tax information supplied by the Teacher.

Acarya Labs may require additional verification before processing payouts.

Teachers shall promptly notify Acarya Labs of any material changes to:

• legal name;
• identification documents;
• educational qualifications;
• institutional affiliation;
• banking information;
• tax information;
• contact information; or
• any information previously submitted during verification.

Acarya Labs may require renewed verification following such changes.

Acarya Labs may monitor Teacher activities, educational content, live classes, AI usage, communications, ratings, complaints, and other interactions for purposes including:

• quality assurance;
• fraud prevention;
• legal compliance;
• user safety;
• academic integrity;
• platform security; and
• service improvement.

Such monitoring shall be conducted in accordance with applicable law and the Privacy Policy.

Acarya Labs reserves the absolute right, at its sole discretion and without prior notice, to suspend, revoke, or permanently terminate Teacher verification or access to educator features where it reasonably determines that:

• false or misleading information has been provided;
• verification documents are fraudulent or invalid;
• these Terms have been violated;
• educational content violates applicable law or Platform policies;
• the Teacher engages in misconduct or unethical behaviour;
• security or fraud concerns arise;
• continued access may expose Acarya Labs or its Users to legal, operational, financial, or reputational risk; or
• such action is otherwise necessary to protect the Platform or comply with applicable law.

Suspension or revocation of verification may result in immediate loss of access to educator-specific features, classes, AI tools, payouts, and other Services.

Nothing contained in these Terms shall be interpreted as creating an employment relationship, partnership, agency, franchise, joint venture, fiduciary relationship, or independent contractor relationship between Acarya Labs and any Teacher.

Teachers operate independently and remain solely responsible for their educational services, tax obligations, regulatory compliance, and professional conduct.

Acarya Labs reserves the unrestricted right to modify, suspend, discontinue, or replace its Teacher verification procedures, onboarding requirements, eligibility criteria, educator features, or related Services at any time, with or without prior notice.

Acarya Labs may refuse, suspend, revoke, or permanently terminate any Teacher Account whenever it reasonably determines that such action is necessary to protect Users, maintain Platform integrity, ensure legal compliance, safeguard intellectual property, or support its legitimate business interests.

Students may create and maintain an account on the Acarya Labs Platform ("Student Account") for the purpose of accessing educational resources, AI-powered learning tools, live classes, recorded lectures, assessments, quizzes, assignments, certifications, study materials, and other educational Services offered through the Platform.

By registering for a Student Account, the Student represents and warrants that all information provided during registration is true, accurate, current, complete, and not misleading.

Acarya Labs reserves the right to verify any information submitted during registration and may require additional documentation where reasonably necessary.

Student Accounts may only be created by individuals who satisfy the eligibility requirements set forth in these Terms.

Where a Student is below the age of eighteen (18) years or the age of legal majority under applicable law, the Student may access and use the Platform only with the consent and supervision of a parent or legal guardian.

Parents or legal guardians are responsible for ensuring that minor Students comply with these Terms.

Student Accounts are intended solely for lawful educational, academic, research, skill development, examination preparation, career development, and learning purposes.

Students shall not use the Platform for commercial exploitation, unlawful activities, fraudulent conduct, or any purpose inconsistent with these Terms.

Students agree to:

• maintain accurate profile information;
• keep their email address and contact details up to date;
• promptly correct inaccurate or outdated information;
• use only their own identity; and
• provide truthful educational and institutional information where requested.

Providing false, misleading, or fraudulent information constitutes a material breach of these Terms.

Students are solely responsible for maintaining the confidentiality of their login credentials, passwords, authentication codes, and other security information.

Students shall:

• not share their login credentials with any other person;
• immediately notify Acarya Labs of any suspected unauthorized access;
• use reasonable precautions to protect their Account; and
• remain responsible for all activities conducted through their Account.

Acarya Labs shall not be liable for losses arising from unauthorized access resulting from a Student's failure to maintain adequate security.

Students may access AI-powered educational Services offered by Acarya Labs, including but not limited to:

• AI Tutor;
• AI Chat Assistant;
• AI Study Planner;
• AI Notes Generator;
• AI Question Generator;
• AI Concept Explanations;
• AI Story Mode;
• AI Career Guidance;
• AI Translation;
• AI Summaries;
• AI Revision Tools; and
• any future AI-powered educational features.

Students acknowledge that AI-generated responses are produced using automated technologies and may contain inaccuracies, omissions, outdated information, or unintended biases.

AI-generated content is provided solely for educational assistance and should not be considered professional, academic, legal, medical, financial, or career advice.

Students remain solely responsible for verifying AI-generated information before relying upon it.

Students agree to maintain the highest standards of academic honesty while using the Platform. Students shall not:

• submit AI-generated work as their own where prohibited;
• cheat during quizzes or examinations;
• manipulate assessments;
• access unauthorized answer keys;
• share examination content without permission;
• impersonate another Student;
• interfere with academic records; or
• engage in any activity that compromises academic integrity.

Acarya Labs reserves the right to suspend or terminate Student Accounts engaged in academic misconduct.

Students may access educational materials uploaded by Teachers, Educational Institutions, or Acarya Labs. Unless expressly authorized:

• educational materials may not be copied, reproduced, redistributed, sold, published, or commercially exploited;
• Students may use educational materials solely for their personal educational purposes; and
• intellectual property rights remain with the applicable owner.

Students may communicate with Teachers, Parents, Educational Institutions, and other authorized Users using communication tools provided by the Platform. Students agree not to:

• send abusive, threatening, obscene, discriminatory, or unlawful communications;
• harass other Users;
• distribute spam or unsolicited messages;
• upload malicious software or harmful content; or
• misuse communication features.

Acarya Labs reserves the right to monitor communications to the extent permitted by applicable law for safety, security, quality assurance, and legal compliance.

Students participating in live classes, assessments, examinations, or interactive educational activities agree to comply with all instructions provided by Teachers and Educational Institutions.

Where permitted by applicable law and disclosed to Users, live sessions may be recorded for educational, administrative, quality assurance, or security purposes.

Students acknowledge that participation in recorded sessions constitutes consent to such recording, subject to applicable privacy laws.

Students shall use the Platform respectfully and responsibly. Students shall not:

• engage in unlawful conduct;
• infringe intellectual property rights;
• attempt to hack, reverse engineer, scrape, or disrupt the Platform;
• upload viruses, malware, ransomware, or malicious code;
• bypass Platform security measures;
• create multiple Accounts to evade restrictions;
• misuse AI Services;
• interfere with other Users' educational experience; or
• violate any applicable law or institutional policy.

Violation of this Section may result in immediate suspension or permanent termination of the Student Account.

• fraudulent or unlawful activity has been detected;
• Platform integrity has been compromised;
• legal compliance requires such action; or
• continued access may expose Acarya Labs, Teachers, Educational Institutions, or other Users to legal, operational, financial, or reputational risk.

Suspension or termination may occur immediately without compensation.

Student information, educational records, AI interactions, quiz results, attendance records, assignments, and other educational data may be processed by Acarya Labs in accordance with these Terms and the Privacy Policy.

Students acknowledge that certain information may be accessible to authorized Teachers, Educational Institutions, Parents or Guardians (where applicable), and Platform Administrators solely for educational, administrative, security, or legal purposes.

Acarya Labs does not sell personal information and processes Student data in accordance with applicable privacy and data protection laws.

Acarya Labs provides educational technology and AI-assisted learning tools designed to support the learning process. The Company does not guarantee:

• academic success;
• examination results;
• admission to educational institutions;
• employment opportunities;
• professional certifications;
• scholarships;
• career advancement; or
• any specific educational outcome.

Learning outcomes depend upon numerous factors outside the control of Acarya Labs, including the Student's own efforts, participation, prior knowledge, and external circumstances.

Acarya Labs reserves the unrestricted right, at its sole discretion, to modify, suspend, discontinue, replace, or permanently remove any Student feature, educational resource, AI functionality, assessment tool, course, certification program, or any part of the Platform at any time, with or without prior notice.

Acarya Labs further reserves the right to refuse registration, suspend access, restrict Services, or terminate any Student Account whenever it reasonably determines that such action is necessary to protect the Platform, its Users, its intellectual property, its security, or its legitimate business interests.

Acarya Labs may permit parents or legal guardians ("Parents") to create and maintain a Parent Account for the purpose of monitoring, supporting, and participating in the educational activities of their child or ward ("Student") on the Platform.

A Parent Account may only be created by an individual who is the lawful parent or legally appointed guardian of the Student or who has been expressly authorized by the Student's educational institution or by applicable law.

Acarya Labs reserves the right to verify the identity and authority of any individual seeking to register a Parent Account.

To protect the privacy and security of Students, Acarya Labs may require Parents to complete an identity verification process before granting access to Student-related information.

Verification may include, without limitation:

• Government-issued photo identification;
• Email verification;
• Mobile number verification;
• Parent or guardian declaration;
• Student verification code;
• Educational institution confirmation;
• Relationship verification; or
• Any additional documentation reasonably requested by Acarya Labs.

Acarya Labs may approve, reject, suspend, or revoke Parent verification at its sole discretion.

Parent Accounts may only be linked to Student Accounts using verification procedures established by Acarya Labs.

Such procedures may include:

• Parent invitation links;
• One-time verification codes;
• Teacher approval;
• Educational institution approval;
• Student authorization where legally permissible; or
• Any other verification mechanism introduced by Acarya Labs.

Acarya Labs reserves the right to remove or refuse any account linkage where ownership or authorization cannot be verified.

Subject to applicable law and institutional policies, Parents may be permitted to access information relating to their linked Student, including:

• enrolled courses;
• attendance records;
• assignments;
• assessment results;
• academic progress;
• teacher communications;
• announcements;
• live class schedules;
• AI-generated learning summaries;
• learning recommendations;
• certificates;
• progress reports; and
• other educational information made available through the Platform.

Access may vary depending on the Student's age, institutional settings, legal requirements, and permissions established by Acarya Labs or the applicable educational institution.

Parents agree to:

• maintain accurate account information;
• protect the confidentiality of their login credentials;
• supervise the educational activities of minor Students where appropriate;
• use Student information solely for lawful educational purposes;
• comply with these Terms and all applicable laws;
• respect the privacy rights of Students, Teachers, and other Users; and
• ensure that their use of the Platform does not interfere with educational activities.

Parents are responsible for all activities conducted through their Parent Account.

Parents may receive communications from Acarya Labs, Teachers, or Educational Institutions, including:

• academic progress reports;
• attendance notifications;
• assignment reminders;
• examination schedules;
• AI-generated progress summaries;
• payment notifications;
• important announcements;
• safety alerts;
• account-related notifications; and
• other educational communications.

Parents consent to receiving such communications electronically through email, SMS, in-app notifications, or other communication methods supported by the Platform.

Acarya Labs may use artificial intelligence to generate summaries, performance insights, recommendations, progress reports, attendance analytics, and educational observations relating to Students.

Parents acknowledge and agree that:

• AI-generated reports are intended solely to assist educational understanding;
• such reports may contain inaccuracies, omissions, or incomplete information;
• AI-generated content should not be considered a substitute for professional educational evaluation or teacher judgment; and
• final academic decisions remain the responsibility of Teachers and Educational Institutions.

Acarya Labs makes no warranty regarding the accuracy or completeness of AI-generated reports.

Parents acknowledge that Student educational records, communications, assessments, and personal information are protected under applicable privacy and data protection laws.

Access to Student information may be limited, restricted, or removed where required by:

• applicable law;
• court orders;
• educational institution policies;
• privacy regulations;
• the rights of Students who have reached the age of majority; or
• other legal obligations.

Parents agree not to misuse, distribute, publish, or disclose Student information obtained through the Platform except where authorized by law.

Parents shall not:

• access information relating to Students who are not lawfully linked to their Account;
• impersonate another parent or guardian;
• share Parent Account credentials with unauthorized persons;
• interfere with educational activities;
• harass Teachers, Students, or other Users;
• upload unlawful, defamatory, abusive, or infringing content;
• attempt to bypass Platform security measures;
• misuse AI-powered educational features; or
• use the Platform for any unlawful or commercial purpose.

Violation of this Section may result in immediate suspension or permanent termination of the Parent Account.

Acarya Labs may monitor Parent Account activity for purposes including:

• security;
• fraud prevention;
• compliance with applicable law;
• quality assurance;
• child safety;
• dispute resolution;
• system integrity; and
• Platform improvement.

By using the Platform, Parents consent to such monitoring to the extent permitted by applicable law.

Acarya Labs reserves the absolute right, at its sole discretion and without prior notice, to suspend, restrict, deactivate, unlink, or permanently terminate any Parent Account where it reasonably determines that:

• these Terms have been violated;
• false or misleading information has been provided;
• unauthorized access to Student information has occurred;
• fraudulent or unlawful activity has been detected;
• misuse of educational records has occurred;
• continued access poses a security, legal, operational, or reputational risk; or
• such action is necessary to comply with applicable law or institutional requirements.

Suspension or termination may occur immediately and without compensation.

Unless expressly provided by applicable law or institutional policy, access to a Parent Account does not grant Parents authority to modify academic records, alter assessment results, edit institutional records, override Teacher decisions, or interfere with educational administration.

Academic decisions remain the responsibility of the applicable Teacher, Educational Institution, or authorized administrator.

Acarya Labs reserves the unrestricted right, at its sole discretion, to modify, suspend, discontinue, replace, or permanently remove Parent features, communication tools, monitoring capabilities, AI-generated reports, or any other Parent-related Services at any time, with or without prior notice.

Acarya Labs further reserves the right to refuse registration, suspend access, restrict functionality, unlink Student Accounts, or permanently terminate any Parent Account whenever it reasonably determines that such action is necessary to protect Students, Teachers, Educational Institutions, Platform security, intellectual property, legal compliance, or the legitimate business interests of Acarya Labs.

Nothing in these Terms shall be construed as creating any guarantee of continued access to Parent-specific Services or features.

Acarya Labs may permit schools, colleges, universities, coaching centres, educational trusts, corporate training organizations, government departments, research institutions, non-governmental organizations, and other educational entities (collectively, "Educational Institutions") to create and maintain Institutional Accounts for the purpose of managing educational activities through the Platform.

Registration of an Institutional Account is subject to verification and approval by Acarya Labs and shall not be construed as creating any partnership, agency, joint venture, employment, franchise, or exclusive business relationship between the Educational Institution and Acarya Labs.

An Institutional Account may only be created by an individual who is duly authorized to act on behalf of the Educational Institution.

The individual registering the Institutional Account represents and warrants that they possess the legal authority to:

• bind the Educational Institution to these Terms;
• create and administer the Institutional Account;
• manage Teachers, Students, Parents, and other authorized Users;
• submit institutional information;
• enter into agreements with Acarya Labs; and
• accept legal obligations on behalf of the Educational Institution.

Acarya Labs may require documentary evidence of such authority at any time.

To maintain Platform security and authenticity, Acarya Labs may require Educational Institutions to complete a verification process.

Verification may include, without limitation:

• institution registration certificates;
• government recognition or accreditation documents;
• trust or society registration documents;
• university affiliation documents;
• GST registration, where applicable;
• PAN or tax identification details;
• official institutional email domains;
• proof of address;
• identity verification of authorized representatives;
• banking information for payments or payouts; and
• any additional information reasonably requested by Acarya Labs.

Submission of documentation does not guarantee approval.

Educational Institutions are responsible for:

• maintaining accurate institutional information;
• ensuring that only authorized individuals access the Institutional Account;
• managing Teachers, Students, Parents, and administrators within the Platform;
• safeguarding account credentials;
• complying with all applicable educational, privacy, employment, tax, and regulatory laws;
• obtaining all legally required permissions and consents from Students, Parents, Teachers, and employees;
• ensuring compliance with institutional policies; and
• promptly notifying Acarya Labs of any unauthorized access or security incidents.

Educational Institutions remain solely responsible for activities performed through their Institutional Accounts.

Institutional Accounts may include administrative tools that enable authorized representatives to:

• create and manage courses;
• onboard Teachers and Students;
• assign administrative roles;
• monitor attendance;
• review assessments and academic reports;
• access AI-powered analytics;
• generate reports;
• communicate with Users;
• configure institutional settings; and
• utilize other educational management features provided by Acarya Labs.

Access to administrative features shall be governed by role-based permissions determined by Acarya Labs and the Educational Institution.

Educational Institutions acknowledge that they are solely responsible for the accuracy, legality, completeness, and integrity of educational records uploaded or maintained on the Platform.

Such records may include:

• student enrolment information;
• attendance records;
• assignments;
• examination results;
• certificates;
• academic reports;
• teacher records;
• institutional notices;
• disciplinary records; and
• other educational data.

Acarya Labs acts solely as a technology platform and does not verify the academic accuracy of institutional records unless expressly agreed in writing.

Educational Institutions may utilize AI-powered Services offered by Acarya Labs, including but not limited to:

• AI Tutor;
• AI Question Generator;
• AI Assessment Tools;
• AI Lesson Planning;
• AI Analytics;
• AI Classroom Insights;
• AI Attendance Analysis;
• AI Progress Reports;
• AI Content Generation;
• AI Translation;
• AI Administrative Assistance; and
• any future AI-powered educational technologies introduced by Acarya Labs.

Educational Institutions acknowledge that AI-generated outputs are automated and may contain inaccuracies, omissions, outdated information, or unintended biases.

All AI-generated educational or administrative content must be independently reviewed and verified by qualified personnel before being relied upon or communicated to Students, Parents, Teachers, or third parties.

Acarya Labs does not guarantee the accuracy, completeness, or suitability of AI-generated content.

Educational Institutions represent and warrant that they possess all necessary legal rights, permissions, authorizations, and consents required to upload, process, store, and manage educational records and personal information through the Platform.

Educational Institutions remain solely responsible for ensuring compliance with applicable privacy, child protection, and data protection laws.

Acarya Labs processes institutional data in accordance with its Privacy Policy and applicable law but does not assume responsibility for the legality of data collected or uploaded by Educational Institutions.

Educational Institutions retain ownership of educational materials, documents, assessments, and other content uploaded by them, subject to the license granted to Acarya Labs under these Terms.

Educational Institutions represent and warrant that they own or possess all necessary rights, licenses, permissions, and authorizations required to upload such content to the Platform.

Acarya Labs reserves the right to remove content that infringes intellectual property rights or violates these Terms.

Certain institutional features may require payment of subscription fees, licensing fees, implementation charges, storage fees, AI usage fees, or other applicable charges.

Educational Institutions agree to pay all applicable fees in accordance with the pricing published by Acarya Labs or as otherwise agreed in writing.

Failure to make timely payments may result in suspension, restriction, or termination of Services.

Acarya Labs reserves the right to revise pricing, introduce new fees, or discontinue pricing plans at any time, subject to applicable law and contractual commitments.

Educational Institutions shall implement appropriate administrative, technical, and organizational measures to protect access credentials and prevent unauthorized access to Institutional Accounts.

Educational Institutions shall immediately notify Acarya Labs upon becoming aware of:

• unauthorized account access;
• compromised credentials;
• data breaches;
• cyberattacks;
• misuse of institutional accounts;
• fraudulent activities; or
• any security incident affecting the Platform.

Acarya Labs may suspend access where necessary to protect Platform security.

Acarya Labs reserves the absolute right, at its sole discretion and without prior notice, to suspend, restrict, deactivate, or permanently terminate any Institutional Account where it reasonably determines that:

• these Terms have been violated;
• fraudulent or unlawful activity has occurred;
• inaccurate or misleading information has been submitted;
• required verification cannot be completed;
• security or operational risks exist;
• intellectual property rights have been infringed;
• applicable law requires such action; or
• continued access may adversely affect the Platform, its Users, or the legitimate interests of Acarya Labs.

Termination may result in immediate suspension of access to institutional data and Services, subject to applicable legal obligations regarding data retention.

Educational Institutions acknowledge that the Platform and its Services are provided on an "as available" and "as is" basis.

Acarya Labs does not guarantee uninterrupted availability of any feature, AI model, integration, storage capability, reporting function, or administrative tool.

Scheduled maintenance, security updates, technical issues, third-party outages, force majeure events, or operational requirements may temporarily interrupt Services.

Acarya Labs reserves the unrestricted right, at its sole discretion, to modify, suspend, discontinue, replace, restrict, or permanently remove any Institutional feature, administrative tool, AI Service, integration, API, storage facility, reporting capability, subscription plan, or any part of the Platform at any time, with or without prior notice.

Acarya Labs further reserves the right to refuse institutional registration, revoke verification, suspend Services, terminate Institutional Accounts, or impose additional verification or security requirements whenever it reasonably determines that such action is necessary to protect Platform security, Users, intellectual property, legal compliance, or its legitimate business interests.

Nothing in these Terms shall be interpreted as guaranteeing the continued availability of any Institutional Service, feature, or functionality.

Acarya Labs provides artificial intelligence-powered educational assistance through its proprietary Acarya AI Tutor and other AI-powered learning technologies ("AI Tutor Services"). These Services are designed to support Students, Teachers, Parents, Educational Institutions, and other authorized Users by providing educational guidance, explanations, personalized learning assistance, assessments, summaries, recommendations, and other AI-assisted educational functionalities.

AI Tutor Services are intended solely as educational support tools and do not replace qualified teachers, instructors, educational institutions, professional tutors, or accredited educational programs.

AI Tutor Services may include, without limitation:

• AI-powered tutoring and question answering;
• concept explanations;
• personalized learning assistance;
• step-by-step problem solving;
• study planning;
• revision assistance;
• AI-generated quizzes and assessments;
• AI-generated summaries;
• AI-generated notes;
• AI-generated flashcards;
• AI-powered career guidance;
• AI-powered language translation;
• AI-powered writing assistance;
• AI-generated educational recommendations;
• AI-generated practice questions;
• AI-powered performance analytics;
• AI-generated educational content;
• AI classroom assistance;
• voice-based tutoring;
• image-based educational assistance;

Users shall not rely on AI Tutor Services as a substitute for:

Teachers, Educational Institutions, and Users are solely responsible for reviewing, verifying, editing, approving, and validating all AI-generated educational content before:

• publishing educational materials;
• conducting examinations;
• grading Students;
• communicating with Parents;
• issuing academic recommendations;
• distributing assignments;
• providing educational advice; or
• relying upon AI-generated information.

Acarya Labs expressly disclaims responsibility for educational decisions made solely on the basis of AI-generated content.

Acarya Labs may provide multiple AI tutoring modes designed to support different educational objectives. Depending on the Service or educational context, Users may have access to one or more of the following modes:

• Guided Learning Mode;
• Balanced Assistance Mode;
• Open Learning Mode;
• Examination Assistance Mode;
• Practice Mode;
• Revision Mode;
• Teacher Mode; or
• any additional AI learning mode introduced by Acarya Labs.

The availability, behaviour, or functionality of these modes may be modified or discontinued at any time.

During quizzes, examinations, assignments, or assessments conducted through the Platform, Acarya Labs may automatically restrict, modify, or disable certain AI Tutor functionalities in order to preserve academic integrity.

AI Tutor Services may:

• provide guided learning instead of direct answers;
• restrict access to solutions;
• limit contextual information;
• disable certain AI features;
• prevent answer generation; or
• enforce examination-specific restrictions.

Users shall not attempt to bypass or interfere with these restrictions.

When using AI Tutor Services, Users agree that they shall not:

• use AI-generated content to engage in academic dishonesty;
• submit AI-generated work as original work where prohibited;
• attempt to manipulate AI responses;
• generate unlawful or harmful content;
• generate content that infringes intellectual property rights;
• upload malicious software;
• circumvent Platform safeguards;

• use AI Services to generate misinformation or fraudulent content; or
• use AI Tutor Services in violation of applicable law.

Users remain solely responsible for all prompts submitted to the AI Tutor and all actions taken based upon AI-generated outputs.

To improve the quality, safety, reliability, and performance of AI Tutor Services, Acarya Labs may process prompts, interactions, feedback, usage statistics, and technical information submitted through AI Services.

Such processing may include:

• performance evaluation;
• quality assurance;
• debugging;
• abuse detection;
• fraud prevention;
• security monitoring;
• feature development;

• service improvement.

Acarya Labs shall process such information in accordance with its Privacy Policy and applicable law.

• remain permanently available.

Maintenance, technical issues, infrastructure failures, third-party outages, or operational requirements may temporarily interrupt AI Services.

All intellectual property rights relating to AI Tutor Services, including but not limited to:

• AI system architecture;
• prompts and workflows;
• proprietary algorithms;
• machine learning systems;
• software;
• databases;
• user interface;
• educational workflows;
• documentation;
• trademarks;
• logos;
• branding; and
• Platform design,

remain the exclusive property of Acarya Labs or its licensors.

Except as expressly permitted under these Terms, Users shall not copy, reverse engineer, decompile, extract, train competing models from, reproduce, distribute, sell, sublicense, or commercially exploit any part of the AI Tutor Services.

To the fullest extent permitted by applicable law, Acarya Labs shall not be liable for any direct, indirect, incidental, consequential, exemplary, punitive, or special damages arising from:

• inaccurate AI-generated responses;
• educational decisions based on AI outputs;
• examination outcomes;
• academic performance;
• career recommendations;
• AI hallucinations;
• interruptions in AI availability;
• third-party AI provider failures;
• reliance upon AI-generated information; or
• any loss resulting from the use or inability to use AI Tutor Services.

Users assume all risks associated with the use of AI-generated content.

Acarya Labs reserves the absolute and unrestricted right, at its sole discretion and without prior notice, to modify, suspend, restrict, replace, discontinue, or permanently remove any AI Tutor Service, AI model, AI feature, AI capability, prompt library, educational workflow, API, subscription feature, or related functionality at any time.

Acarya Labs shall not be liable for any loss, inconvenience, interruption, or damages arising from such modification, suspension, or discontinuation.

Nothing in these Terms shall be construed as guaranteeing the continued availability of any AI model, feature, or functionality.

Acarya Labs reserves all rights not expressly granted under these Terms. Acarya Labs may impose usage limits, rate limits, credit limits, fair use restrictions, subscription requirements, moderation controls, or other operational restrictions on AI Tutor Services whenever reasonably necessary to protect Platform security, maintain service quality, comply with applicable law, safeguard intellectual property, or support its legitimate business interests.

Acarya Labs provides an artificial intelligence-powered conversational assistant known as Acarya AI Chat ("AI Chat"), which enables Users to interact with advanced artificial intelligence models for educational, informational, research, productivity, and learning purposes.

AI Chat is intended to enhance the learning experience by providing conversational assistance, explanations, brainstorming, academic support, content generation, research assistance, coding assistance, language translation, and other AI-powered capabilities.

AI Chat is an automated technology and does not constitute a human instructor, teacher, educational institution, legal advisor, medical professional, financial consultant, or other licensed professional.

AI Chat may be made available to Students, Teachers, Parents, Educational Institutions, corporate customers, administrators, or other authorized Users depending upon the applicable subscription plan, account type, geographical availability, technical limitations, and Platform policies.

Certain AI Chat features may require:

• a registered Acarya Labs Account;
• an active subscription;
• available AI usage credits;
• internet connectivity;
• compatible hardware or software; or
• additional verification procedures.

Acarya Labs reserves the right to modify eligibility requirements for AI Chat at any time.

AI Chat generates responses using machine learning systems, large language models, automated algorithms, and artificial intelligence technologies.

Users expressly acknowledge and agree that:

• AI Chat responses are automatically generated;
• responses are not reviewed by humans before delivery;
• AI Chat may generate incorrect, incomplete, inaccurate, misleading, outdated, offensive, or biased information;
• AI Chat may occasionally produce fictional, fabricated, or "hallucinated" content;
• identical prompts may generate different responses; and
• AI Chat should not be relied upon as the sole source of information.

Users are solely responsible for independently reviewing and verifying all AI-generated responses before relying upon them.

Subject to these Terms, Users may use AI Chat for lawful purposes, including but not limited to:

• learning and education;
• homework assistance;
• concept explanations;
• academic research;
• brainstorming ideas;
• language learning;
• translation;
• writing assistance;
• summarization;
• coding assistance;
• debugging;
• career guidance;
• productivity assistance;
• study planning;
• note generation;
• examination preparation;
• interview preparation; and
• any other lawful educational or informational purpose.

All use of AI Chat must comply with applicable law and these Terms.

Users shall not use AI Chat to:

• generate unlawful, fraudulent, defamatory, or harmful content;
• create or distribute malware, ransomware, spyware, viruses, or malicious software;
• facilitate hacking, phishing, unauthorized access, or cybercrime;
• infringe intellectual property rights;
• generate content promoting violence, terrorism, discrimination, harassment, or hate speech;
• impersonate another individual or organization;
• violate examination or academic integrity policies;
• generate misleading academic submissions where prohibited;
• distribute spam or deceptive communications;
• violate privacy rights;
• circumvent Platform safeguards;
• reverse engineer AI models;
• scrape AI responses at scale without authorization; or
• engage in any activity prohibited by applicable law.

Acarya Labs reserves the right to investigate suspected misuse and take appropriate enforcement action.

• reliable;
• current;
• error-free;
• unbiased;
• legally compliant;
• suitable for a particular purpose;
• free from omissions; or
• consistent with official educational curricula or professional standards.

AI-generated outputs should be treated as informational assistance only and not as verified facts.

Artificial intelligence systems may occasionally generate inaccurate, fabricated, misleading, inconsistent, or fictional information, commonly referred to as "hallucinations."

AI hallucinations may include, without limitation:

Users should verify AI-generated information using reliable and authoritative sources, particularly where the information relates to:

• educational assessments;
• research;
• legal matters;
• medical matters;
• engineering;
• finance;
• taxation;
• employment;
• business decisions;
• regulatory compliance; or

Failure to independently verify AI-generated information is undertaken entirely at the User's own risk.

The AI Services are intended solely to support learning, education, research, creativity, and productivity.

The AI Services are not intended to replace:

• qualified teachers;
• professors;
• educational institutions;
• professional tutors;
• licensed counsellors;
• legal professionals;
• medical practitioners;
• accountants;
• financial advisers;
• psychologists; or
• any other qualified professional.

Any educational or professional decision made using AI-generated content remains the sole responsibility of the User.

AI-generated outputs do not constitute legal, medical, financial, tax, accounting, engineering, psychological, investment, employment, regulatory, or other professional advice.

Users should always consult appropriately qualified professionals before making decisions based upon AI-generated content.

Acarya Labs expressly disclaims responsibility for any decision made in reliance upon AI-generated outputs.

Users assume full responsibility for:

• evaluating AI-generated outputs;
• verifying factual accuracy;
• editing AI-generated content;
• ensuring compliance with applicable laws;
• checking examination answers;
• validating educational materials;
• reviewing AI-generated code;
• confirming citations and references;
• determining suitability for publication; and

Users remain solely responsible for any content they publish, distribute, submit, or communicate after using AI Services.

Accordingly:

• identical prompts may produce different responses over time;

Users expressly assume all risks associated with the use of AI Services.

Acarya Labs may continuously improve, retrain, update, replace, moderate, or fine-tune AI models to enhance safety, reliability, educational quality, performance, and user experience.

Such updates may modify the behaviour, responses, capabilities, or limitations of AI Services without prior notice.

Nothing contained in these Terms shall be interpreted as guaranteeing the continued availability, functionality, or behaviour of any specific AI model or feature.

By accessing or using any AI Service provided by Acarya Labs, the User expressly acknowledges that:

• artificial intelligence is an evolving technology;
• AI-generated outputs may be inaccurate or misleading;
• AI Services are intended only to assist human decision-making;
• human review remains essential;
• Acarya Labs does not guarantee the correctness of AI-generated outputs; and
• the User voluntarily assumes all risks associated with the use of AI-generated content.

The User further agrees that Acarya Labs shall not be responsible for any loss, damage, liability, claim, or expense arising from the User's reliance upon AI-generated outputs except where such liability cannot legally be excluded under applicable law.

This Acceptable Use Policy ("AUP") governs the use of the Acarya Labs Platform, including all websites, mobile applications, software, APIs, AI Services, educational tools, digital content, cloud infrastructure, communication systems, and related Services (collectively, the "Platform").

By accessing or using the Platform, you agree to comply with this Acceptable Use Policy at all times.

Failure to comply with this Policy may result in suspension or permanent termination of your Account, removal of content, restriction of Services, legal action, or any other remedy available to Acarya Labs under applicable law.

Users shall use the Platform only for lawful, educational, research, productivity, business, and other legitimate purposes permitted under these Terms.

Users agree to comply with all applicable local, state, national, and international laws, regulations, governmental orders, educational policies, and institutional rules while using the Platform.

Users shall not use the Platform to:

• create fake identities or accounts;

Users shall not use any AI Service provided by Acarya Labs to:

• generate unlawful content;
• produce fraudulent or deceptive information;
• facilitate academic misconduct or cheating;

• develop phishing content;
• generate spam or unsolicited communications;
• create harmful misinformation or disinformation;
• impersonate real persons without authorization;
• generate defamatory or abusive material;
• circumvent safety mechanisms;
• manipulate AI safeguards;
• automate abusive behaviour; or
• engage in any activity that could reasonably cause harm to individuals, organizations, or the public.

Acarya Labs may restrict, moderate, or disable AI functionality where misuse is detected or reasonably suspected.

Students, Teachers, Parents, Educational Institutions, and other Users shall use the Platform in a manner consistent with academic honesty and educational integrity.

Users shall not:

• submit AI-generated work as original work where prohibited;
• cheat during examinations or assessments;
• distribute examination papers without authorization;
• manipulate grading systems;
• obtain unauthorized academic advantages;
• falsify educational records;
• impersonate another Student or Teacher; or
• encourage or facilitate academic misconduct.

Educational Institutions remain responsible for enforcing their own academic integrity policies.

Users shall not upload, transmit, generate, publish, store, or distribute content that:

• is unlawful or illegal;
• infringes copyrights, trademarks, patents, or other intellectual property rights;
• violates privacy or publicity rights;
• contains defamatory or libellous statements;
• is obscene, pornographic, or sexually explicit;
• promotes violence or criminal activity;
• contains discriminatory, hateful, or abusive material;
• threatens or harasses others;
• contains malicious software;
• is intentionally misleading or fraudulent;
• violates court orders or governmental restrictions; or
• otherwise violates applicable law.

Acarya Labs reserves the right to remove or restrict any content that violates this Policy.

Users shall not attempt to:

• gain unauthorized access to any account, server, database, API, or network;
• exploit vulnerabilities;
• bypass authentication systems;
• reverse engineer the Platform;
• decompile software;
• perform penetration testing without written authorization;
• interfere with security mechanisms;
• intercept communications;
• access data belonging to other Users;
• scrape Platform data without permission;
• use automated bots except where expressly authorized; or
• otherwise compromise Platform security.

Any attempt to compromise Platform security may result in immediate termination of access and legal action.

Users shall not upload, transmit, distribute, execute, or attempt to distribute:

• viruses;
• worms;
• ransomware;
• spyware;
• trojans;
• malicious scripts;
• botnets;
• cryptocurrency mining software;
• denial-of-service tools;
• malicious executables; or
• any other software intended to damage, disrupt, or compromise computer systems.

Acarya Labs reserves the right to immediately suspend Accounts involved in such activities.

Users shall not:

• overload Platform infrastructure;
• conduct denial-of-service attacks;
• perform automated scraping beyond authorized limits;
• abuse APIs;
• consume excessive system resources;
• interfere with other Users' access;
• intentionally degrade Platform performance; or
• otherwise disrupt normal Platform operations.

Acarya Labs may implement rate limits, bandwidth controls, API restrictions, or other technical safeguards to protect Platform availability.

Users shall respect the intellectual property rights of Acarya Labs and third parties.

Users shall not:

• copy Platform software;
• reproduce educational materials without authorization;
• redistribute proprietary content;
• remove copyright notices;
• create unauthorized derivative works;
• reverse engineer AI models;
• extract proprietary datasets;
• train competing AI models using proprietary Platform content without authorization; or
• commercially exploit Platform technologies.

Violation of intellectual property rights may result in civil or criminal legal proceedings.

Users shall not:

• collect personal information without authorization;
• harvest email addresses;
• scrape user profiles;
• disclose confidential information;
• monitor other Users without consent;
• violate applicable privacy laws; or
• misuse personal data obtained through the Platform.

Users are responsible for complying with all applicable privacy and data protection laws.

Acarya Labs may establish reasonable usage limits for Services, including:

• AI requests;
• storage capacity;
• API usage;
• file uploads;
• bandwidth;
• message frequency;
• token consumption;
• AI credits;
• concurrent sessions; and
• other system resources.

Users shall not attempt to circumvent such limitations.

Acarya Labs reserves the right to modify usage limits at any time.

To protect the Platform, Users, and educational integrity, Acarya Labs may monitor Platform usage using automated systems and authorized personnel to the extent permitted by applicable law.

Monitoring may include:

• abuse detection;
• fraud prevention;
• cybersecurity monitoring;
• malware detection;
• content moderation;
• AI safety enforcement;
• quality assurance;
• legal compliance; and
• investigation of suspected violations.

Where appropriate, Acarya Labs may remove content, suspend Services, terminate Accounts, report unlawful activity to competent authorities, or pursue legal remedies.

Users are encouraged to promptly report suspected violations of this Acceptable Use Policy.

Acarya Labs may investigate reports, request additional information, and take appropriate action in its sole discretion.

Submission of a report does not guarantee any particular enforcement outcome.

Without limiting any other rights or remedies available under these Terms or applicable law, Acarya Labs may, at its sole discretion and without prior notice:

• issue warnings;
• remove content;
• suspend AI features;
• restrict Platform functionality;
• suspend or terminate Accounts;
• revoke subscriptions;
• permanently block access;
• refuse future registration;
• retain evidence for investigative purposes;
• report unlawful conduct to law enforcement or regulatory authorities; and
• commence civil or criminal proceedings where appropriate.

Users remain responsible for all losses, damages, liabilities, costs, and expenses arising from violations of this Policy.

Acarya Labs reserves the absolute and unrestricted right to interpret, enforce, modify, supplement, suspend, or replace this Acceptable Use Policy at any time.

Acarya Labs may determine, in its reasonable discretion, whether any activity or content violates this Policy, the Terms and Conditions, applicable law, Platform security requirements, or the legitimate interests of Acarya Labs.

Nothing contained in this Policy shall be interpreted as limiting any other legal rights or remedies available to Acarya Labs under contract, statute, equity, or common law.

Acarya Labs may provide live online educational sessions ("Live Classes") through the Platform for Students, Teachers, Educational Institutions, Parents, corporate organizations, and other authorized Users.

Live Classes may include real-time lectures, tutorials, workshops, webinars, seminars, doubt-solving sessions, discussions, examinations, demonstrations, mentoring sessions, training programs, and other interactive educational activities.

Live Classes are provided solely for educational and learning purposes.

Participation in Live Classes may require:

• a registered Acarya Labs Account;
• successful identity verification, where applicable;
• enrollment in a course or educational program;
• an active subscription or payment of applicable fees;
• internet connectivity;
• compatible hardware and software;
• compliance with these Terms; and
• any additional requirements established by Acarya Labs or the applicable Educational Institution.

Acarya Labs reserves the right to determine eligibility for participation in any Live Class.

Access credentials for Live Classes are personal and non-transferable.

Users shall not:

• share meeting links;
• share access credentials;
• permit unauthorized individuals to attend;
• record or rebroadcast sessions without authorization;
• bypass access controls; or
• otherwise facilitate unauthorized participation.

Acarya Labs may revoke access where unauthorized participation is detected.

Users participating in Live Classes shall behave respectfully and professionally.

Users shall not:

• disrupt classes;
• harass Teachers, Students, or other participants;
• use abusive, threatening, discriminatory, or offensive language;
• upload unlawful or harmful content;
• impersonate another participant;
• intentionally interfere with teaching activities;
• distribute spam or unsolicited communications;
• share inappropriate images, audio, or video;
• engage in academic misconduct; or
• otherwise interfere with the educational experience of other Users.

Teachers and moderators may remove disruptive participants at their discretion.

Educational materials presented during Live Classes may include:

• presentations;
• videos;
• demonstrations;
• documents;
• assessments;
• AI-generated educational content;
• whiteboard content;
• code examples;
• quizzes;
• assignments; and
• other instructional materials.

Unless expressly authorized in writing, Users shall not copy, record, reproduce, distribute, publish, sell, or commercially exploit such materials.

All intellectual property rights remain with the applicable owner.

Acarya Labs may integrate AI-powered features into Live Classes, including:

• AI Tutor assistance;
• live transcription;
• automated captions;
• language translation;
• AI-generated summaries;
• AI-generated notes;
• AI-powered attendance tracking;
• AI question generation;
• AI moderation;
• AI analytics; and
• other AI-powered educational tools.

Users acknowledge that AI-generated outputs may contain inaccuracies, omissions, or errors and should be independently verified before being relied upon.

Acarya Labs makes no warranty regarding the accuracy of AI-generated content used during Live Classes.

Acarya Labs, Teachers, or Educational Institutions may record Live Classes for purposes including:

• educational access;
• revision and self-study;
• quality assurance;
• teacher training;
• academic administration;
• dispute resolution;
• compliance with applicable law;
• safety and security; and
• service improvement.

By participating in a Live Class, Users acknowledge and consent, where permitted by applicable law, to the recording, storage, and processing of their voice, video, screen sharing, chat messages, and other interactions.

Where applicable law requires additional consent, Acarya Labs will obtain such consent before recording.

Users shall not record, livestream, broadcast, download, copy, reproduce, redistribute, or publicly share any Live Class without the prior written authorization of Acarya Labs or the applicable copyright owner.

Unauthorized recording or distribution may result in immediate suspension or termination of the User's Account and may expose the User to legal liability.

Acarya Labs may provide attendance tracking and participation monitoring for educational purposes.

Attendance information may include:

• login times;
• logout times;
• session duration;
• participation metrics;
• quiz completion;
• AI interaction data;
• classroom activity; and
• other educational analytics.

Educational Institutions and Teachers remain responsible for determining attendance requirements.

Users are solely responsible for maintaining:

• reliable internet connectivity;
• compatible devices;
• supported web browsers or applications;
• microphones;
• cameras;
• speakers or headphones;
• sufficient system resources; and
• any other equipment necessary to participate in Live Classes.

Acarya Labs shall not be responsible for interruptions resulting from User equipment, internet failures, or third-party service providers.

Live Classes may be interrupted due to:

• internet outages;
• cloud infrastructure failures;
• software defects;
• hardware failures;
• cyber incidents;
• scheduled maintenance;
• third-party service interruptions;
• force majeure events; or
• operational requirements.

Acarya Labs does not guarantee uninterrupted access to Live Classes and shall not be liable for losses arising from technical interruptions beyond its reasonable control.

Certain Live Classes may require payment of course fees, subscription fees, event registration fees, or other applicable charges.

Unless otherwise required by applicable law or expressly stated in a separate refund policy:

• failure to attend a Live Class does not automatically entitle a User to a refund;
• missed sessions may not be rescheduled; and
• Acarya Labs reserves the right to determine refund eligibility at its sole discretion.

Information shared during Live Classes may be processed in accordance with the Privacy Policy.

Users remain responsible for protecting the privacy of individuals participating in Live Classes.

To the fullest extent permitted by applicable law, Acarya Labs shall not be liable for any direct, indirect, incidental, consequential, exemplary, special, or punitive damages arising from:

• cancellation or postponement of Live Classes;
• technical failures;
• internet outages;
• recording failures;
• AI-generated inaccuracies;
• educational outcomes;
• attendance disputes;
• user misconduct;
• third-party platform failures;
• inability to participate in Live Classes; or
• interruption of educational services.

Participation in Live Classes is undertaken entirely at the User's own risk.

Acarya Labs reserves the absolute and unrestricted right, at its sole discretion and without prior notice, to:

• modify Live Class schedules;
• change instructors;
• replace educational content;
• alter teaching formats;
• suspend or cancel Live Classes;
• restrict participation;
• discontinue Live Class functionality; or
• permanently remove any Live Class, course, event, or related Service.

Acarya Labs shall not be liable for any inconvenience, loss, interruption, or damages arising from such modifications or discontinuation.

Acarya Labs reserves all rights not expressly granted under these Terms. Acarya Labs may establish participation rules, attendance policies, technical requirements, moderation procedures, AI safety controls, recording policies, and operational guidelines necessary to maintain educational quality, Platform security, legal compliance, and the legitimate business interests of Acarya Labs.

Nothing in this Section shall be interpreted as guaranteeing the availability of any Live Class, instructor, educational program, schedule, recording, or feature.

Acarya Labs may provide educational services that involve live video, audio, screen sharing, presentations, webinars, workshops, virtual classrooms, meetings, mentoring sessions, examinations, interviews, demonstrations, and other interactive online activities (collectively, the "Recorded Sessions").

To improve educational quality, accessibility, security, compliance, and service delivery, Acarya Labs may record, store, process, analyze, and reproduce such sessions in accordance with these Terms, the Privacy Policy, and applicable law.

By participating in any Live Class, webinar, meeting, workshop, virtual classroom, interview, mentoring session, or other interactive session hosted through the Platform, you expressly acknowledge and consent that, where permitted by applicable law, Acarya Labs or the applicable Teacher or Educational Institution may record:

• video;
• audio;
• voice communications;
• screen sharing;
• presentations;
• chat messages;
• whiteboard interactions;
• annotations;
• shared documents;
• AI-generated transcripts;
• AI-generated summaries;
• attendance information;
• participation metrics; and
• other communications occurring during the session.

Where applicable law requires separate consent, Acarya Labs will obtain such consent before recording.

Recorded Sessions may be used for legitimate purposes including, but not limited to:

• educational delivery;
• revision and self-study;
• course replay;
• accessibility accommodations;
• teacher training;
• educational quality assurance;
• assessment review;
• dispute resolution;
• complaint investigations;
• academic administration;
• attendance verification;
• AI-powered educational assistance;
• automated transcription;
• AI-generated summaries;
• AI-generated notes;
• service improvement;
• fraud prevention;
• cybersecurity;
• legal compliance; and
• any other purpose reasonably related to the operation of the Platform.

Recorded Sessions may be processed using artificial intelligence technologies to generate:

• transcripts;
• subtitles;
• captions;
• summaries;
• educational notes;
• learning analytics;
• attendance reports;
• participation insights;
• keyword extraction;
• searchable recordings;
• language translation; and
• other AI-powered educational features.

Users acknowledge that AI-generated outputs may contain inaccuracies, omissions, transcription errors, or other technical limitations and should not be relied upon without appropriate review.

Subject to applicable permissions, Recorded Sessions may be made available to:

• the participating Student;
• the Teacher conducting the session;
• authorized Educational Institution administrators;
• Parents or legal guardians, where permitted;
• authorized Acarya Labs administrators;
• technical support personnel; and
• other authorized individuals as required for educational or operational purposes.

Access to recordings may be restricted based on subscription plans, institutional policies, privacy requirements, or applicable law.

Users shall not record, photograph, livestream, broadcast, duplicate, reproduce, distribute, publish, upload, download, or commercially exploit any Recorded Session without the prior written authorization of Acarya Labs or the applicable copyright owner.

Unauthorized recording or distribution may constitute copyright infringement, breach of confidentiality, violation of privacy rights, and a material breach of these Terms.

Acarya Labs reserves the right to suspend or permanently terminate Accounts involved in unauthorized recordings.

All recordings created or hosted through the Platform, including lectures, presentations, demonstrations, course materials, whiteboard content, AI-generated transcripts, AI-generated summaries, educational notes, graphics, and related educational content, remain subject to the applicable intellectual property rights of Acarya Labs, Teachers, Educational Institutions, or other lawful rights holders.

Nothing contained in these Terms transfers ownership of any intellectual property to Users.

Users are granted only a limited, non-exclusive, non-transferable, revocable license to access recordings solely for their personal educational purposes, unless otherwise expressly authorized.

By participating in Recorded Sessions, Users represent and warrant that:

• they possess the legal authority to participate;
• they will not knowingly disclose confidential information belonging to third parties without authorization;
• they will respect the privacy of other participants;
• they will comply with applicable laws regarding recording and privacy; and
• any content shared by them during Recorded Sessions is lawful and does not infringe third-party rights.

Users remain solely responsible for content they voluntarily share during Recorded Sessions.

Recorded Sessions may be stored using cloud infrastructure, secure servers, or third-party hosting providers selected by Acarya Labs.

Acarya Labs may retain recordings for periods determined by:

• educational requirements;
• subscription plans;
• institutional agreements;
• operational needs;
• backup policies;
• legal obligations;
• dispute resolution; or
• applicable data retention requirements.

Acarya Labs reserves the right to delete, archive, replace, or permanently remove recordings at any time without prior notice, unless otherwise required by applicable law or contractual obligations.

Acarya Labs will process recordings in accordance with its Privacy Policy and applicable data protection laws.

While commercially reasonable security measures are implemented, Users acknowledge that no electronic storage or transmission system can be guaranteed to be completely secure.

Users agree not to disclose, copy, redistribute, or misuse recordings containing confidential, personal, or sensitive information relating to other participants.

Acarya Labs does not guarantee that recordings will:

• be successfully captured;
• remain continuously available;
• be free from technical defects;
• contain complete audio or video;
• generate accurate AI transcripts;
• remain permanently accessible; or
• be recoverable after deletion.

Recording failures may occur due to internet interruptions, hardware failures, software defects, cloud outages, third-party service interruptions, cyber incidents, or force majeure events.

To the fullest extent permitted by applicable law, Acarya Labs shall not be liable for any direct, indirect, incidental, consequential, exemplary, special, or punitive damages arising from:

• recording failures;
• lost recordings;
• corrupted recordings;
• inaccurate AI-generated transcripts;
• incomplete recordings;
• unauthorized third-party access despite commercially reasonable safeguards;

• inability to access recordings; or
• reliance upon AI-generated transcripts or summaries.

Users assume all risks associated with the use of recorded educational materials.

Acarya Labs reserves the absolute and unrestricted right, at its sole discretion and without prior notice, to modify, suspend, restrict, discontinue, replace, or permanently remove any recording feature, AI transcription feature, playback capability, storage facility, cloud integration, recording archive, or related functionality.

Acarya Labs shall not be liable for any inconvenience, loss, deletion of recordings, interruption, or damages arising from such modification or discontinuation.

Nothing contained in these Terms shall be interpreted as guaranteeing the continued availability of any recording, transcript, summary, archive, or playback functionality.

Acarya Labs reserves all rights not expressly granted under these Terms. Acarya Labs may establish recording policies, access controls, retention schedules, security measures, AI processing procedures, moderation policies, technical limitations, and operational guidelines whenever reasonably necessary to maintain Platform security, educational quality, legal compliance, intellectual property protection, or its legitimate business interests.

Unless expressly stated otherwise in writing, all intellectual property rights in and relating to the Platform, Services, and all associated technologies are and shall remain the exclusive property of Acarya Labs, its licensors, affiliates, or other lawful rights holders.

Nothing contained in these Terms transfers or assigns any ownership rights in the Platform or Services to any User.

The intellectual property owned, licensed, or controlled by Acarya Labs includes, without limitation:

• the Acarya Labs name;
• logos, trademarks, service marks, trade names, and branding;
• software applications;
• web applications;
• mobile applications;
• source code and object code;
• databases;
• APIs;
• artificial intelligence models;
• machine learning systems;
• AI prompts and prompt libraries;
• AI Tutor;
• AI Chat;
• AI Question Generator;
• AI Notes Generator;
• AI Career Guidance;
• AI workflows;
• algorithms;
• recommendation engines;
• automation systems;
• dashboards;
• user interfaces;
• user experience designs;
• graphics;
• icons;
• animations;
• layouts;
• templates;
• educational content created by Acarya Labs;
• videos;
• presentations;
• documentation;
• audio recordings;
• training materials;
• assessments;
• examination content;
• question banks;
• software architecture;
• cloud infrastructure;
• business methods;
• proprietary processes;
• research;
• know-how;
• trade secrets; and
• all future improvements, enhancements, modifications, derivatives, and updates.

All such intellectual property is protected under applicable copyright, trademark, patent, trade secret, database, and other intellectual property laws.

Subject to these Terms, Acarya Labs grants Users a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform solely for its intended educational, informational, or business purposes.

This license does not grant Users any ownership interest in any part of the Platform.

All rights not expressly granted are reserved by Acarya Labs.

Users retain ownership of intellectual property rights in content that they lawfully create and upload to the Platform ("User Content").

By uploading, submitting, transmitting, publishing, or otherwise making User Content available through the Platform, Users grant Acarya Labs a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to:

• host;
• store;
• reproduce;
• process;
• transmit;
• translate;
• adapt;
• format;
• display;
• distribute;
• analyze;
• index;
• cache;
• create backups;
• generate AI-assisted educational features;
• provide Services;
• improve Platform functionality;
• perform quality assurance;
• detect abuse;
• maintain Platform security; and
• otherwise operate the Platform in accordance with these Terms.

This license continues only for as long as reasonably necessary to provide the Services, comply with legal obligations, resolve disputes, enforce these Terms, or maintain backup and archival systems.

Users represent and warrant that:

• they own or possess all necessary intellectual property rights relating to User Content;
• User Content does not infringe copyrights, trademarks, patents, trade secrets, privacy rights, publicity rights, or other proprietary rights of third parties;
• User Content complies with applicable law; and
• Acarya Labs' use of User Content as permitted under these Terms will not violate the rights of any third party.

Users remain solely responsible for all User Content uploaded to the Platform.

Subject to applicable law, Users may use AI-generated content produced through Acarya Labs for lawful educational, personal, research, or commercial purposes.

However, Users acknowledge and agree that:

• AI-generated outputs may not be unique;
• similar prompts may generate substantially similar outputs for different Users;
• Acarya Labs does not guarantee originality or exclusivity of AI-generated content;
• Users remain responsible for ensuring that AI-generated content does not infringe third-party rights; and
• Acarya Labs makes no representation regarding the ownership or registrability of AI-generated content under applicable intellectual property laws.

Except as expressly authorized by Acarya Labs in writing, Users shall not:

• copy;
• reproduce;
• modify;
• adapt;
• translate;
• publish;
• distribute;
• sell;
• sublicense;
• lease;
• rent;
• assign;
• commercially exploit;
• scrape;
• mirror;
• reverse engineer;
• decompile;
• disassemble;
• extract source code;
• extract databases;
• train competing artificial intelligence models using Platform content;
• circumvent technical protection measures;
• remove copyright notices;
• remove trademarks;
• remove proprietary markings;
• create derivative works; or
• otherwise exploit any part of the Platform or Services.

Any unauthorized use constitutes a material breach of these Terms.

Educational materials provided by Acarya Labs, Teachers, or Educational Institutions remain the intellectual property of their respective owners.

Unless expressly authorized:

• Users may access educational materials solely for personal educational purposes;
• educational content may not be redistributed, published, sold, licensed, or commercially exploited; and
• Users shall respect all copyright notices and licensing terms applicable to educational materials.

The names Acarya Labs, Acarya AI Tutor, Acarya AI Chat, logos, product names, slogans, service names, domain names, graphics, and branding elements are trademarks, service marks, or proprietary identifiers owned or licensed by Acarya Labs.

Nothing contained in these Terms grants any User the right to use any trademark, logo, or branding of Acarya Labs without prior written authorization.

If a User provides suggestions, recommendations, ideas, enhancement requests, bug reports, comments, or other feedback relating to the Platform ("Feedback"), the User grants Acarya Labs a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable, and unrestricted right to use, reproduce, modify, implement, publish, distribute, commercialize, and otherwise exploit such Feedback without compensation or attribution.

Acarya Labs shall have no obligation to implement any Feedback.

Acarya Labs respects the intellectual property rights of others.

If any person believes that content available on the Platform infringes their copyright or other intellectual property rights, they may submit a written notice including:

• identification of the copyrighted work;
• identification of the allegedly infringing material;
• sufficient information to locate the material;
• contact details of the complainant;
• a statement of good-faith belief that the use is unauthorized; and
• a declaration that the information provided is accurate.

Acarya Labs may investigate such complaints and remove, restrict, or disable access to allegedly infringing material where appropriate.

Acarya Labs reserves the right to investigate suspected violations of intellectual property rights and may, at its sole discretion:

• remove infringing content;
• suspend or terminate Accounts;
• revoke access to Services;
• preserve evidence;
• cooperate with law enforcement authorities;
• seek injunctive relief;
• pursue civil or criminal remedies; and
• recover damages, legal fees, and costs where permitted by applicable law.

Certain Services may incorporate software, APIs, AI models, open-source software, trademarks, or other technologies owned by third parties.

All such third-party intellectual property remains the property of its respective owners and may be subject to separate license terms.

Users agree to comply with all applicable third-party licensing requirements.

Acarya Labs expressly reserves all intellectual property rights not expressly granted under these Terms.

Nothing contained in these Terms shall be interpreted as granting any implied license, ownership interest, or proprietary right in any software, AI model, algorithm, educational material, trademark, trade secret, database, business method, or other intellectual property owned or licensed by Acarya Labs.

Unauthorized use of Acarya Labs' intellectual property may result in immediate suspension or termination of access to the Platform and may subject the offending party to civil, criminal, or other legal proceedings to the fullest extent permitted by applicable law.

The Platform allows Users to upload, create, submit, publish, transmit, store, generate, share, and otherwise make available various forms of content ("User Content"), including educational materials, assignments, documents, presentations, images, videos, audio recordings, AI prompts, AI-generated outputs, messages, comments, feedback, code, assessments, quizzes, course materials, profile information, and other digital content.

Users retain ownership of their User Content, subject to the rights and licenses granted to Acarya Labs under these Terms.

Except as otherwise provided in these Terms, Users retain all intellectual property rights they lawfully own in User Content submitted to the Platform.

Nothing in these Terms transfers ownership of User Content to Acarya Labs.

However, Users acknowledge that the operation of the Platform requires Acarya Labs to process, store, reproduce, display, and transmit User Content.

By uploading, submitting, publishing, transmitting, generating, or otherwise making User Content available through the Platform, the User grants Acarya Labs a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to:

• host;
• store;
• reproduce;
• process;
• cache;
• index;
• modify for technical purposes;
• translate;
• format;
• display;
• transmit;
• distribute;
• backup;
• archive;
• generate AI-powered educational features;
• improve Platform functionality;
• perform analytics;
• provide customer support;
• detect fraud;
• investigate abuse;
• enforce these Terms;
• comply with legal obligations; and
• otherwise operate, maintain, secure, improve, and provide the Platform and Services.

This license shall continue only for so long as reasonably necessary to provide the Services, comply with legal obligations, resolve disputes, enforce these Terms, maintain backups, or satisfy applicable data retention requirements.

Users represent, warrant, and agree that:

• they own or possess all necessary rights, licenses, permissions, and authorizations relating to their User Content;
• User Content does not infringe any copyright, trademark, patent, trade secret, privacy right, publicity right, contractual right, or other proprietary right;
• User Content complies with applicable law;
• User Content does not contain malicious software or harmful code;
• User Content is accurate to the best of the User's knowledge; and
• the submission of User Content does not violate any agreement or legal obligation.

Users remain solely responsible for all User Content they submit to the Platform.

Users shall not upload, submit, generate, publish, distribute, transmit, or otherwise make available User Content that:

• violates any applicable law;
• infringes intellectual property rights;
• contains defamatory, libellous, or fraudulent material;
• contains obscene, sexually explicit, or pornographic material;
• promotes violence, terrorism, or criminal activity;
• contains hate speech or discriminatory content;
• harasses, threatens, intimidates, or abuses any individual;
• invades another person's privacy;
• discloses confidential information without authorization;
• contains malicious software;
• facilitates phishing, hacking, or cybercrime;
• spreads misinformation intended to cause harm;
• impersonates another individual or organization; or
• otherwise violates these Terms or the Acceptable Use Policy.

Acarya Labs reserves the right to remove or restrict access to such User Content at any time.

Users may submit prompts, questions, documents, and other materials to AI-powered Services.

Users acknowledge that:

• prompts submitted to AI Services constitute User Content;
• AI-generated outputs may not be unique;
• similar prompts submitted by different Users may produce similar outputs;
• AI-generated content may contain inaccuracies or hallucinations;
• Users remain solely responsible for reviewing AI-generated outputs before publication or use; and
• Acarya Labs does not guarantee originality, exclusivity, factual accuracy, or legal suitability of AI-generated outputs.

To maintain Platform security, educational quality, and compliance with applicable law, Acarya Labs may, to the extent permitted by law:

• monitor User Content;
• review User Content using automated systems or authorized personnel;
• moderate content;
• detect abusive or unlawful activity;
• investigate complaints;
• remove prohibited content;
• restrict visibility of content; and
• suspend or terminate Accounts responsible for policy violations.

Acarya Labs is not obligated to monitor all User Content and does not guarantee that unlawful or inappropriate content will be detected or removed.

Acarya Labs reserves the absolute and unrestricted right, at its sole discretion and without prior notice, to remove, restrict, edit, disable, archive, quarantine, or permanently delete any User Content where it reasonably determines that:

• these Terms have been violated;
• applicable law requires removal;
• intellectual property rights have been infringed;
• security risks exist;
• fraud or abuse is suspected;
• User Content may expose Acarya Labs or other Users to legal liability; or
• removal is necessary to protect the Platform or its legitimate business interests.

Removal of User Content shall not create any liability on the part of Acarya Labs.

User Content may be stored using cloud infrastructure, backup systems, databases, or third-party hosting providers utilized by Acarya Labs.

Acarya Labs reserves the right to:

• establish storage limits;
• archive inactive content;
• delete obsolete content;
• remove expired files;
• enforce storage quotas;
• migrate storage systems; and
• permanently delete User Content following account closure, prolonged inactivity, legal requirements, or operational needs.

Acarya Labs does not guarantee permanent storage or recovery of User Content.

Users are solely responsible for maintaining independent backups of important content.

Users acknowledge that certain User Content may incorporate third-party intellectual property, open-source materials, publicly available resources, or licensed content.

Users remain solely responsible for obtaining all necessary permissions before uploading such content.

Acarya Labs shall not be responsible for verifying ownership of User Content submitted by Users.

User Content containing personal information shall be processed in accordance with the Acarya Labs Privacy Policy and applicable data protection laws.

Users shall not upload personal information relating to another individual unless they possess the legal authority or consent necessary to do so.

Users remain responsible for protecting confidential and sensitive information contained within User Content.

Acarya Labs has no obligation to publish, display, host, maintain, distribute, or continue making any User Content available.

The Company may refuse to publish, remove, restrict, suspend, or permanently delete User Content at any time without prior notice, subject to applicable law.

Users agree to indemnify, defend, and hold harmless Acarya Labs, its directors, officers, employees, affiliates, licensors, contractors, partners, and service providers from and against any claims, liabilities, losses, damages, costs, expenses, or legal fees arising out of or relating to:

• User Content;
• infringement of third-party rights;
• violation of applicable law;
• breach of these Terms;
• unauthorized disclosure of confidential information; or
• misuse of the Platform.

To the fullest extent permitted by applicable law, Acarya Labs shall not be liable for:

• loss of User Content;
• deletion of User Content;
• corruption of User Content;
• unauthorized access to User Content despite commercially reasonable security measures;
• errors in AI-generated User Content;
• publication delays;
• third-party misuse of User Content; or
• any damages arising from User Content uploaded or shared by Users.

Users assume all risks associated with uploading and sharing User Content.

Acarya Labs reserves all rights not expressly granted under these Terms.

The Company may establish content moderation policies, storage limitations, AI processing procedures, security controls, retention schedules, review mechanisms, and operational guidelines whenever reasonably necessary to protect the Platform, maintain service quality, comply with applicable law, safeguard intellectual property, and support its legitimate business interests.

Nothing contained in this Section shall be construed as requiring Acarya Labs to host, retain, publish, restore, or preserve any User Content beyond the period required by applicable law or the Company's operational policies.

Acarya Labs respects the intellectual property rights of authors, educators, publishers, software developers, creators, and other rights holders. We expect all Users to respect the intellectual property rights of others while using the Platform.

Users shall not upload, publish, distribute, transmit, generate, or otherwise make available any content that infringes or misappropriates the intellectual property rights of any third party.

Acarya Labs reserves the right to investigate allegations of infringement and to take appropriate action, including removal of content or suspension of Accounts.

If you believe that any content available on the Platform infringes your copyright or other intellectual property rights, you may submit a written Copyright Infringement Notice to Acarya Labs.

The notice should include sufficient information to enable Acarya Labs to identify the allegedly infringing material and evaluate the complaint.

A Copyright Infringement Notice should include, at a minimum:

• the full legal name of the copyright owner or authorized representative;
• contact information, including email address, telephone number, and mailing address;
• identification of the copyrighted work claimed to have been infringed;
• identification of the allegedly infringing content, including the URL, course, document, AI-generated content, or other sufficient information to locate it;
• a statement explaining the basis of the complaint;
• a statement that the complainant has a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or applicable law;
• a statement that the information contained in the notice is accurate; and
• a declaration, made under penalty of applicable law where permitted, that the complainant is the copyright owner or is authorized to act on behalf of the copyright owner.

Acarya Labs may request additional information where reasonably necessary to verify the complaint.

Copyright complaints should be submitted to the designated Intellectual Property or Legal Contact published by Acarya Labs.

Incomplete or insufficient notices may delay processing or may not be acted upon until the required information has been received.

Acarya Labs reserves the right to determine whether a complaint contains sufficient information for review.

Upon receipt of a substantially complete complaint, Acarya Labs may, at its sole discretion:

• acknowledge receipt of the complaint;
• review the allegedly infringing material;
• request additional information from the complainant or the User who uploaded the content;
• temporarily restrict access to the disputed material;
• permanently remove the material;
• disable public access to the material;
• preserve evidence for investigative or legal purposes;
• notify the affected User; and
• take any other action reasonably necessary to protect intellectual property rights or comply with applicable law.

Acarya Labs does not guarantee any specific response time or outcome.

If a User believes that content removed or disabled following a copyright complaint was removed in error or that the User possesses the necessary legal rights to use the content, the User may submit a written Counter-Notice.

A Counter-Notice should include:

• the User's full legal name and contact information;
• identification of the removed material;
• a statement explaining why the User believes the removal was incorrect;
• supporting documentation demonstrating ownership, authorization, licence, fair dealing, fair use (where applicable), or other legal basis for use; and
• a declaration that the information provided is accurate and made in good faith.

Submission of a Counter-Notice does not guarantee restoration of the content.

Acarya Labs maintains a policy for addressing repeated violations of intellectual property rights.

Where Acarya Labs reasonably determines that a User has repeatedly infringed copyrights or other intellectual property rights, Acarya Labs may, at its sole discretion and without prior notice:

• issue warnings;
• suspend access to specific Services;
• remove uploaded content;
• revoke publishing privileges;
• terminate subscriptions;
• permanently disable the User's Account; and
• prohibit future registration on the Platform.

Acarya Labs shall determine repeat infringement based on its reasonable assessment of the available information.

Users acknowledge that AI-generated content may occasionally resemble publicly available materials or content created by third parties.

Users remain solely responsible for ensuring that any AI-generated content used, published, distributed, submitted, or commercialized by them does not infringe the intellectual property rights of others.

Acarya Labs does not guarantee that AI-generated outputs are original, unique, or free from third-party intellectual property claims.

Any person who knowingly submits a false, misleading, fraudulent, or malicious copyright complaint or Counter-Notice may be liable for any damages, losses, costs, legal expenses, or other consequences arising from such conduct to the fullest extent permitted by applicable law.

Acarya Labs reserves the right to reject abusive or bad-faith notices and to take appropriate action against Users who misuse this process.

Nothing in this Section limits the right of Acarya Labs, Users, copyright owners, or other rights holders to pursue any remedies available under applicable intellectual property laws.

Acarya Labs reserves the right to remove or disable access to any content that it reasonably believes may infringe intellectual property rights, regardless of whether a formal complaint has been received.

Acarya Labs operates as an intermediary technology platform and does not adjudicate ownership disputes relating to copyrights, trademarks, patents, trade secrets, licences, or other intellectual property rights.

The removal or restoration of content shall not be interpreted as a legal determination regarding ownership, infringement, validity, or enforceability of any intellectual property rights.

Users remain solely responsible for resolving intellectual property disputes directly with the relevant rights holders or through appropriate legal proceedings.

Acarya Labs reserves the absolute and unrestricted right, at its sole discretion, to investigate alleged intellectual property violations, remove or disable access to disputed content, suspend or terminate User Accounts, preserve evidence, cooperate with law enforcement or judicial authorities, and take any other action reasonably necessary to protect intellectual property rights, comply with applicable law, maintain Platform integrity, or safeguard the legitimate business interests of Acarya Labs.

Nothing contained in this Section shall be construed as imposing any obligation upon Acarya Labs to monitor all User Content or to act upon every complaint submitted. Acarya Labs reserves all rights and remedies available under applicable law.

Acarya Labs is committed to protecting the privacy, confidentiality, and security of personal information processed through the Platform. This Section describes the general principles governing the collection, processing, storage, disclosure, transfer, and protection of information in connection with the Platform and Services.

This Section should be read together with the Acarya Labs Privacy Policy, which forms an integral part of these Terms. In the event of any inconsistency between this Section and the Privacy Policy, the Privacy Policy shall prevail with respect to matters relating to personal data processing.

Acarya Labs may collect, receive, generate, or otherwise process information including, but not limited to:

• account registration information;
• names;
• email addresses;
• mobile numbers;
• profile photographs;
• educational qualifications;
• institutional information;
• teacher verification documents;
• parent and guardian information;
• student records;
• attendance information;
• assignments;
• examination results;
• AI prompts;
• AI-generated outputs;
• uploaded documents;
• learning analytics;
• chat messages;
• support requests;
• payment information;
• transaction history;
• device information;
• browser information;
• IP addresses;
• cookies and similar technologies;
• usage logs;
• location information, where permitted;
• audio recordings;
• video recordings;
• AI interaction history; and
• any other information voluntarily provided by Users.

Acarya Labs may process information for purposes including:

• providing the Platform and Services;
• creating and managing User Accounts;
• identity verification;
• teacher onboarding;
• student enrollment;
• educational administration;
• conducting Live Classes;
• generating AI-powered educational content;
• AI Tutor functionality;
• AI Chat functionality;
• AI Question Generator;
• AI Notes Generator;
• AI Career Guidance;
• customer support;
• technical troubleshooting;
• fraud prevention;
• cybersecurity;
• service improvement;
• quality assurance;
• analytics;
• research and development;
• subscription management;
• payment processing;
• communication with Users;
• legal compliance;
• enforcement of these Terms;
• dispute resolution; and
• any other legitimate business purpose consistent with applicable law.

To provide AI-powered Services, Acarya Labs may process:

• user prompts;
• uploaded documents;
• educational materials;
• images;
• audio files;
• chat conversations;
• generated responses;
• AI interaction history;
• educational analytics; and
• related technical metadata.

Such information may be processed using proprietary AI technologies or third-party AI service providers engaged by Acarya Labs.

Users acknowledge that AI-generated outputs are produced through automated processing and may be retained for service delivery, debugging, quality assurance, abuse prevention, security monitoring, and model improvement, subject to applicable law and the Privacy Policy.

Acarya Labs may process educational information including:

• course enrollments;
• attendance records;
• assignments;
• examination results;
• grades;
• certificates;
• learning progress;
• AI-generated educational insights;
• teacher evaluations;
• parent communications; and
• institutional records.

Educational Institutions remain responsible for ensuring they possess all necessary legal authority and permissions to upload or manage educational records through the Platform.

Acarya Labs may disclose information where reasonably necessary to:

• Teachers;
• Students;
• Parents or legal guardians;
• Educational Institutions;
• authorized administrators;
• payment processors;
• cloud infrastructure providers;
• hosting providers;
• analytics providers;
• AI technology providers;
• communication service providers;
• professional advisers;
• auditors;
• regulatory authorities;
• law enforcement agencies;
• courts or tribunals; and
• other third parties where disclosure is required by applicable law or necessary to provide the Services.

Acarya Labs does not sell Users' personal information to third parties.

The Platform may utilize cloud infrastructure, hosting services, artificial intelligence providers, backup systems, payment processors, and technology partners located in different jurisdictions.

Accordingly, personal information may be transferred, processed, stored, or accessed outside the User's country of residence where permitted by applicable law.

Acarya Labs will implement commercially reasonable safeguards intended to protect personal information during such transfers.

Acarya Labs implements commercially reasonable administrative, technical, organizational, and physical safeguards designed to protect information against unauthorized access, disclosure, alteration, destruction, misuse, or accidental loss.

Security measures may include:

• encryption;
• secure communications;
• authentication systems;
• role-based access controls;
• audit logging;
• firewalls;
• intrusion detection;
• security monitoring;
• vulnerability management;
• backup systems; and
• disaster recovery procedures.

However, no method of electronic transmission, cloud storage, or internet communication can be guaranteed to be completely secure.

While Acarya Labs implements commercially reasonable security measures, Users acknowledge that no information system is immune from security incidents, cyberattacks, unauthorized access, or data breaches.

To the fullest extent permitted by applicable law:

• Acarya Labs does not warrant that the Platform will be completely free from security vulnerabilities;
• Acarya Labs shall not be liable for unauthorized access, loss, alteration, disclosure, or destruction of User data resulting from cyberattacks, hacking, malware, ransomware, force majeure events, third-party infrastructure failures, or circumstances beyond its reasonable control;
• Acarya Labs may investigate suspected security incidents and, where required by applicable law, notify affected Users and competent authorities.

Nothing in this Section limits any liability that cannot lawfully be excluded under applicable law.

Acarya Labs may retain information for periods reasonably necessary to:

• provide Services;
• maintain User Accounts;
• preserve educational records;
• comply with legal obligations;
• resolve disputes;
• enforce these Terms;
• perform audits;
• maintain backups;
• prevent fraud;
• improve AI systems; and
• support legitimate business operations.

Following expiration of applicable retention periods, Acarya Labs may archive, anonymize, or permanently delete information in accordance with operational requirements and applicable law.

• improve Platform performance;
• analyze usage;
• enhance security;
• personalize user experiences; and
• support AI-powered functionality.

Users may manage certain cookie preferences through browser or device settings; however, disabling certain technologies may affect Platform functionality.

The Platform may integrate with third-party services including cloud providers, payment gateways, communication platforms, AI providers, analytics providers, authentication services, and educational tools.

Acarya Labs is not responsible for the privacy practices, security measures, or content of third-party services. Users acknowledge that the use of such services may be governed by separate privacy policies and terms established by the respective providers.

Where the Platform is used by minors, Acarya Labs processes information in accordance with applicable child protection, education, and privacy laws.

Parents, legal guardians, Teachers, and Educational Institutions remain responsible for obtaining any permissions or consents required under applicable law before permitting minors to use the Platform.

Acarya Labs processes personal information in accordance with applicable privacy, education, cybersecurity, consumer protection, and data protection laws.

Where legally required, Acarya Labs may cooperate with courts, regulatory authorities, law enforcement agencies, or other competent authorities.

Acarya Labs reserves the right to modify its data processing practices, security measures, AI processing procedures, storage architecture, cloud infrastructure, or Privacy Policy at any time in order to comply with legal requirements, improve Services, enhance security, or support technological developments.

Material changes will be communicated where required by applicable law.

Acarya Labs reserves all rights not expressly granted under these Terms. Acarya Labs may collect, process, store, transfer, disclose, archive, anonymize, or delete information to the extent reasonably necessary to operate the Platform, provide Services, improve AI technologies, protect Users, comply with applicable law, enforce these Terms, safeguard intellectual property, maintain Platform security, and support its legitimate business interests.

Nothing contained in this Section shall be interpreted as creating any obligation upon Acarya Labs to retain any particular data for any specific period beyond that required by applicable law, contractual obligations, or the Company's operational requirements.

Acarya Labs recognizes the importance of protecting the privacy, safety, and personal information of children and minors who use the Platform. The Company is committed to processing children's personal information responsibly and in accordance with applicable child protection, education, privacy, and data protection laws.

Where the Platform is used by children or minors, Acarya Labs implements commercially reasonable administrative, technical, and organizational measures intended to safeguard their personal information.

The Platform may be used by individuals under the age of eighteen (18) years or the age of legal majority applicable in their jurisdiction ("Minor Users") only:

• through a Parent or Legal Guardian;
• under the supervision of a Parent or Legal Guardian;
• through an Educational Institution;
• through an authorized Teacher; or
• where otherwise permitted under applicable law.

Parents, Legal Guardians, Teachers, and Educational Institutions are responsible for ensuring that Minor Users comply with these Terms.

Where required by applicable law, Acarya Labs may require verifiable consent from a Parent or Legal Guardian before collecting, processing, storing, or otherwise using the personal information of a Minor User.

Educational Institutions using the Platform represent and warrant that they have obtained all necessary permissions, authorizations, notices, or consents required under applicable law before registering or providing access to Minor Users.

Acarya Labs may request additional documentation to verify parental or institutional authorization.

For the purpose of providing educational Services, Acarya Labs may process information relating to Minor Users, including:

• name;
• age or date of birth;
• educational institution;
• class or grade;
• student identification number;
• parent or guardian information;
• attendance records;
• assignments;
• assessments;
• examination results;
• learning progress;
• AI Tutor interactions;
• AI Chat conversations;
• educational documents;
• profile information;
• device information;
• technical usage data;
• audio or video recordings, where applicable; and
• any other information voluntarily submitted through the Platform.

Only information reasonably necessary for providing the Services shall be collected.

Information relating to Minor Users may be processed solely for legitimate educational and operational purposes, including:

• providing educational Services;
• managing Student Accounts;
• conducting Live Classes;
• AI-powered tutoring;
• educational assessments;
• learning analytics;
• attendance management;
• communication with Parents and Teachers;
• platform security;
• customer support;
• technical troubleshooting;
• fraud prevention;
• legal compliance;
• service improvement; and
• other educational purposes consistent with these Terms.

Acarya Labs does not knowingly use children's personal information for behavioural advertising or unrelated commercial profiling.

Where the Platform is used by schools, colleges, universities, coaching centres, or other Educational Institutions, the Educational Institution remains responsible for:

• obtaining legally required parental permissions;
• ensuring lawful processing of Student information;
• complying with applicable education and privacy laws;
• supervising Minor Users;
• managing educational records; and
• informing Parents regarding the use of the Platform where required by applicable law.

Acarya Labs acts as a technology platform supporting educational delivery and does not assume the legal obligations of the Educational Institution unless expressly agreed in writing.

Minor Users may access AI-powered educational features including AI Tutor, AI Chat, AI Notes Generator, AI Question Generator, AI Career Guidance, and other AI Services, where permitted.

Parents, Teachers, and Educational Institutions acknowledge that:

• AI-generated content may contain inaccuracies or hallucinations;
• AI Services are educational assistance tools only;
• AI-generated responses should be independently reviewed where appropriate; and
• important educational or personal decisions should not be based solely upon AI-generated outputs.

Parents and Teachers are encouraged to supervise the use of AI Services by Minor Users.

Information relating to Minor Users may be shared only where reasonably necessary with:

• Parents or Legal Guardians;
• authorized Teachers;
• Educational Institutions;
• authorized Platform administrators;
• cloud service providers;
• payment processors, where applicable;
• AI technology providers;
• technical support providers;
• regulatory authorities;
• law enforcement agencies; or
• other third parties where disclosure is required by applicable law or necessary to provide the Services.

Acarya Labs does not knowingly sell the personal information of Minor Users.

Acarya Labs implements commercially reasonable safeguards intended to protect the personal information of Minor Users, including:

• encrypted communications;
• authentication controls;
• role-based access management;
• secure cloud infrastructure;
• monitoring of suspicious activities;
• audit logging;
• backup systems;
• cybersecurity protections; and
• other reasonable security measures.

However, no internet-based service or electronic storage system can be guaranteed to be completely secure.

Subject to applicable law, Parents or Legal Guardians may have the right to:

• access certain personal information relating to their Minor User;
• request correction of inaccurate information;
• request deletion of information where legally permitted;
• withdraw previously provided consent where applicable;
• request restriction of certain processing activities; and
• contact Acarya Labs regarding privacy concerns.

Requests may require identity verification before action is taken.

Certain requests may be limited where retention is required by law, institutional obligations, or legitimate educational purposes.

Information relating to Minor Users may be retained for periods reasonably necessary to:

• provide educational Services;
• maintain educational records;
• comply with legal obligations;
• resolve disputes;
• enforce these Terms;
• preserve backups;
• maintain platform security;
• support Educational Institutions; and
• fulfill legitimate operational requirements.

Following expiration of applicable retention periods, Acarya Labs may archive, anonymize, or permanently delete such information in accordance with applicable law.

Parents, Legal Guardians, Teachers, or Educational Institutions who believe that a Minor User's personal information has been processed improperly, or who become aware of suspected misuse of a Minor User's Account, should promptly notify Acarya Labs.

Acarya Labs may investigate reported concerns and take appropriate corrective action where reasonably necessary.

To the fullest extent permitted by applicable law, Acarya Labs shall not be liable for any loss, damage, or claim arising from:

• inaccurate information provided by Parents, Guardians, or Educational Institutions;
• failure of a Parent or Educational Institution to obtain legally required permissions;
• unauthorized access resulting from compromised credentials;
• misuse of the Platform by Minor Users contrary to these Terms;
• reliance upon AI-generated educational content; or
• circumstances beyond the reasonable control of Acarya Labs.

Nothing in this Section limits any liability that cannot lawfully be excluded under applicable law.

Acarya Labs reserves the absolute and unrestricted right to establish, modify, or update policies governing the use of the Platform by Minor Users, including age verification procedures, parental consent mechanisms, educational institution onboarding requirements, AI safety controls, access restrictions, privacy safeguards, and data processing practices.

Acarya Labs may suspend, restrict, or terminate access to the Platform where it reasonably believes that the continued use of the Services by a Minor User may violate applicable law, compromise Platform security, or otherwise conflict with the legitimate interests of Acarya Labs or the safety and privacy of its Users.

Nothing contained in this Section shall be interpreted as creating any obligation upon Acarya Labs to independently verify the age of every User or the legal authority of every Parent, Guardian, or Educational Institution beyond the measures reasonably implemented by the Company.

Acarya Labs is committed to maintaining the confidentiality, integrity, availability, and security of the Platform, Services, and information processed through the Platform.

The Company implements commercially reasonable administrative, technical, organizational, and physical safeguards designed to protect the Platform against unauthorized access, misuse, disclosure, alteration, destruction, cyber threats, and other security risks.

While Acarya Labs continuously improves its cybersecurity posture, no computer system, network, cloud service, software application, or internet-based service can be guaranteed to be completely secure.

Acarya Labs may implement security measures including, but not limited to:

• encryption of data in transit and at rest where appropriate;
• secure authentication mechanisms;
• multi-factor authentication (MFA);
• access controls;
• role-based permissions;
• audit logging;
• intrusion detection and prevention systems;
• firewall protection;
• vulnerability assessments;
• penetration testing;
• malware protection;
• endpoint security;
• secure cloud infrastructure;
• backup and disaster recovery systems;
• AI-powered security monitoring;
• rate limiting;
• fraud detection systems;
• automated threat monitoring; and
• other commercially reasonable cybersecurity controls.

The implementation of such measures does not constitute a guarantee that unauthorized access or security incidents will never occur.

Users are responsible for maintaining the security of their own devices, networks, and Accounts.

Users agree to:

• maintain strong passwords;
• protect authentication credentials;
• enable multi-factor authentication where available;
• promptly update software and devices;
• use supported web browsers and operating systems;
• maintain appropriate antivirus and security software;
• avoid sharing login credentials;
• immediately report suspected unauthorized access; and
• comply with all security instructions issued by Acarya Labs.

Users remain solely responsible for activities conducted through their Accounts.

Users shall not:

• attempt unauthorized access to any Account, database, server, API, network, or infrastructure;
• exploit software vulnerabilities;
• bypass authentication systems;
• interfere with security controls;
• conduct denial-of-service or distributed denial-of-service attacks;
• deploy malware, ransomware, spyware, trojans, worms, or other malicious software;
• intercept communications;
• engage in phishing;
• harvest credentials;
• scrape protected information without authorization;
• reverse engineer security mechanisms;
• interfere with AI safety systems;
• use automated tools to compromise Platform security; or
• engage in any activity intended to damage, disrupt, or compromise the Platform.

Any such activity constitutes a material breach of these Terms and may result in immediate suspension or permanent termination of access, without prejudice to any other legal remedies available to Acarya Labs.

Users shall immediately notify Acarya Labs upon becoming aware of:

• unauthorized access to their Account;
• credential compromise;
• suspected hacking;
• malware infections affecting Platform access;
• attempted phishing;
• suspected data breaches;
• fraudulent activities;
• security vulnerabilities; or
• any other cybersecurity incident relating to the Platform.

Failure to promptly report a known security incident may increase the risk of harm and may affect Acarya Labs' ability to investigate or mitigate the incident.

To maintain Platform security, Acarya Labs may monitor systems, networks, devices, APIs, and Platform activities using automated technologies and authorized personnel.

Monitoring may include:

• login activity;
• authentication events;
• device verification;
• IP address analysis;
• geolocation verification;
• fraud detection;
• AI abuse detection;
• malware detection;
• suspicious behaviour analysis;
• network monitoring;
• audit logging;
• performance monitoring;
• vulnerability management; and
• security analytics.

Such monitoring shall be conducted only to the extent reasonably necessary for Platform security, legal compliance, operational integrity, and service improvement.

In the event of an actual or suspected cybersecurity incident, Acarya Labs may, at its sole discretion:

• temporarily suspend affected Accounts;
• restrict access to Services;
• reset authentication credentials;
• disable compromised sessions;
• isolate affected systems;
• investigate the incident;
• preserve evidence;
• engage cybersecurity experts;
• notify affected Users where required by applicable law;
• cooperate with law enforcement or regulatory authorities; and
• implement remediation measures necessary to restore Platform security.

Acarya Labs does not guarantee uninterrupted availability of Services during security investigations or remediation activities.

The Platform may utilize third-party cloud providers, hosting services, content delivery networks, AI providers, payment processors, communication platforms, authentication providers, analytics providers, and other technology partners.

Although Acarya Labs exercises reasonable care in selecting such providers, Acarya Labs is not responsible for cybersecurity incidents, outages, vulnerabilities, unauthorized access, or failures arising solely from third-party systems that are outside its reasonable control.

Users expressly acknowledge that:

• cybersecurity threats continuously evolve;
• sophisticated attacks may bypass security controls;
• zero-day vulnerabilities may exist;
• third-party infrastructure may be compromised;
• internet communications are inherently subject to risk; and
• no security program can eliminate all cybersecurity risks.

Accordingly, Acarya Labs does not warrant or guarantee that the Platform will be completely immune from cyberattacks, hacking, malware, ransomware, unauthorized access, denial-of-service attacks, data interception, or other cybersecurity incidents.

Acarya Labs may implement backup, redundancy, replication, disaster recovery, and business continuity measures designed to protect Platform operations.

However, Acarya Labs does not guarantee that:

• data will never be lost;
• backups will always be recoverable;
• restoration will be immediate;
• information will remain permanently available; or
• all data can be successfully restored following a cybersecurity incident or system failure.

Users are solely responsible for maintaining independent backups of any information that they consider important.

Acarya Labs may, at any time and without prior notice, implement:

• emergency security patches;
• software updates;
• AI safety improvements;
• infrastructure changes;
• authentication enhancements;
• security configuration changes;
• access restrictions;
• API modifications;
• temporary service interruptions; and
• other cybersecurity measures reasonably necessary to protect the Platform.

Users agree to install or accept such updates where required for continued access to the Services.

To the fullest extent permitted by applicable law, Acarya Labs, its affiliates, directors, officers, employees, contractors, licensors, partners, and service providers shall not be liable for any direct, indirect, incidental, consequential, exemplary, special, punitive, or economic damages arising from:

• cyberattacks;
• hacking;
• malware;
• ransomware;
• phishing;
• denial-of-service attacks;
• credential theft;
• unauthorized access;
• data interception;
• network failures;
• cloud infrastructure failures;
• internet outages;
• third-party security incidents;
• software vulnerabilities;
• zero-day exploits;
• loss or corruption of data;
• interruption of Services; or
• any cybersecurity incident beyond the reasonable control of Acarya Labs.

Nothing in this Section excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

Users agree to cooperate with Acarya Labs during cybersecurity investigations, including by:

• providing requested information;
• confirming account ownership;
• changing passwords;
• enabling additional authentication measures;
• preserving relevant evidence; and
• complying with reasonable security instructions issued by Acarya Labs.

Failure to cooperate may result in temporary suspension of access where reasonably necessary to protect the Platform or other Users.

Acarya Labs reserves the absolute and unrestricted right, at its sole discretion, to implement, modify, strengthen, suspend, or replace any cybersecurity control, authentication requirement, AI safety mechanism, monitoring procedure, incident response process, access restriction, security policy, or technical safeguard whenever reasonably necessary to protect the Platform, Users, educational institutions, intellectual property, confidential information, or its legitimate business interests.

Nothing contained in this Section shall be construed as creating a guarantee of absolute cybersecurity, uninterrupted service, or complete protection against all present or future cyber threats.

Acarya Labs implements commercially reasonable administrative, technical, organizational, and physical security measures designed to protect the confidentiality, integrity, and availability of information processed through the Platform.

However, Users expressly acknowledge and agree that no software application, cloud platform, database, artificial intelligence system, communication network, or internet-based service can be guaranteed to be completely secure or immune from cybersecurity incidents.

Accordingly, Acarya Labs does not warrant or guarantee that unauthorized access, data breaches, cyberattacks, malware, ransomware, phishing, credential theft, or other security incidents will never occur.

By accessing or using the Platform, Users acknowledge and voluntarily accept the inherent risks associated with electronic communications, cloud computing, artificial intelligence systems, online educational platforms, and internet-based services.

Such risks may include, without limitation:

• unauthorized access;
• hacking;
• phishing;
• malware;
• ransomware;
• credential compromise;
• denial-of-service attacks;
• interception of communications;
• software vulnerabilities;
• zero-day exploits;
• insider threats;
• third-party service failures;
• cloud infrastructure failures;
• internet outages;
• hardware failures;
• accidental disclosure;
• data corruption;
• loss of availability; and
• other cybersecurity incidents beyond the reasonable control of Acarya Labs.

The Platform may utilize third-party providers for:

• cloud hosting;
• artificial intelligence services;
• payment processing;
• authentication;
• communication services;
• content delivery;
• analytics;
• storage;
• backup services; and
• other operational infrastructure.

Acarya Labs does not own or control every aspect of such third-party infrastructure and shall not be responsible for security incidents, data breaches, unauthorized disclosures, outages, or vulnerabilities arising solely from third-party systems beyond the reasonable control of Acarya Labs.

Users are responsible for maintaining the security of their own devices, networks, credentials, and Accounts.

Users agree to:

• maintain strong passwords;
• protect authentication credentials;
• enable multi-factor authentication where available;
• keep devices and software updated;
• use secure internet connections;
• promptly report suspected unauthorized access;
• maintain appropriate cybersecurity practices; and
• avoid sharing confidential credentials with unauthorized persons.

Acarya Labs shall not be responsible for losses resulting from a User's failure to implement reasonable security measures.

If Acarya Labs becomes aware of a suspected or confirmed security incident affecting the Platform, the Company may, where appropriate:

• investigate the incident;
• engage cybersecurity specialists;
• preserve evidence;
• isolate affected systems;
• suspend affected Accounts;
• implement containment measures;
• restore affected Services;
• notify competent authorities where required by applicable law; and
• notify affected Users where legally required.

The timing, method, and scope of any notification shall be determined in accordance with applicable law and the circumstances of the incident.

Although Acarya Labs may maintain backup systems, redundancy, disaster recovery procedures, and business continuity measures, the Company does not guarantee that:

• all information will always remain available;
• data will never be lost;
• backups will always be recoverable;
• deleted information can always be restored;
• information will remain permanently accessible; or
• services will continue without interruption following a cybersecurity incident.

Users are strongly encouraged to maintain independent backups of important documents, educational materials, and other valuable information.

To the fullest extent permitted by applicable law, Acarya Labs, its affiliates, directors, officers, employees, contractors, licensors, partners, and service providers shall not be liable for any direct, indirect, incidental, consequential, exemplary, special, punitive, or economic damages arising from or relating to:

• unauthorized access to User information;
• cybersecurity incidents;
• hacking;
• phishing;
• ransomware;
• malware infections;
• credential theft;
• data corruption;
• loss of data;
• service interruptions;
• cloud infrastructure failures;
• third-party security incidents;
• accidental disclosure of information;
• denial-of-service attacks;
• interception of communications;
• unauthorized use of User Accounts; or
• any security incident beyond the reasonable control of Acarya Labs.

Nothing contained in this Section excludes or limits liability where such exclusion or limitation is prohibited under applicable law, including liability arising from Acarya Labs' own fraud, wilful misconduct, or any other liability that cannot legally be excluded.

Users acknowledge that AI-powered Services process prompts, uploaded documents, educational materials, conversations, and related information to provide AI-generated functionality.

While Acarya Labs implements commercially reasonable safeguards, Users acknowledge that AI systems, cloud infrastructure, and automated technologies may be subject to technical limitations, software defects, service interruptions, cybersecurity threats, or third-party failures.

Users assume the risks associated with submitting information to AI-powered Services and should avoid submitting information they are not legally entitled to disclose or that they consider highly confidential unless appropriate safeguards and permissions are in place.

Acarya Labs shall not be responsible for any data breach, cybersecurity incident, or loss of information arising directly or indirectly from circumstances beyond its reasonable control, including:

• acts of God;
• natural disasters;
• war;
• terrorism;
• civil unrest;
• government actions;
• widespread internet failures;
• telecommunications outages;
• power failures;
• cyber warfare;
• large-scale ransomware attacks;
• failures of third-party infrastructure providers; or
• other Force Majeure Events.

Acarya Labs reserves the absolute and unrestricted right, at its sole discretion, to implement, modify, strengthen, replace, or discontinue any security control, authentication requirement, encryption mechanism, monitoring system, backup procedure, incident response process, AI safety measure, or cybersecurity policy whenever reasonably necessary to protect the Platform, Users, educational institutions, intellectual property, confidential information, or the legitimate business interests of Acarya Labs.

Nothing contained in this Section shall be interpreted as creating any guarantee of absolute security, uninterrupted service, permanent data availability, or immunity from present or future cybersecurity threats. Users expressly acknowledge that the use of internet-based services inherently involves risks that cannot be completely eliminated.

To the fullest extent permitted by applicable law, the Platform, Services, AI Services, educational content, software, websites, mobile applications, APIs, cloud infrastructure, databases, integrations, and all related functionality are provided by Acarya Labs on an "AS IS", "AS AVAILABLE", and "WITH ALL FAULTS" basis.

Users acknowledge and agree that use of the Platform is entirely voluntary and undertaken at their own risk.

Acarya Labs does not represent or warrant that the Platform or any Service will:

• operate continuously;
• remain uninterrupted;
• remain error-free;
• be free from bugs or defects;
• remain compatible with all devices or software;
• remain permanently available;
• meet every User's expectations;
• produce completely accurate AI-generated outputs; or
• be free from security vulnerabilities.

Temporary interruptions may occur due to maintenance, software updates, infrastructure failures, third-party outages, cybersecurity incidents, force majeure events, or operational requirements.

To the fullest extent permitted by applicable law, Acarya Labs, its parent entities, subsidiaries, affiliates, directors, officers, employees, contractors, consultants, licensors, service providers, agents, successors, and assigns shall not be liable for any:

• direct damages;
• indirect damages;
• incidental damages;
• consequential damages;
• special damages;
• exemplary damages;
• punitive damages;
• economic losses;
• loss of revenue;
• loss of profits;
• loss of goodwill;
• loss of reputation;
• loss of opportunity;
• loss of business;
• loss of educational opportunities;
• examination failures;
• academic losses;
• employment losses;
• loss of data;
• corruption of data;
• interruption of business;
• interruption of educational services;
• procurement of substitute services; or
• any other financial or non-financial loss,

arising out of or relating to the use of, inability to use, or reliance upon the Platform or Services, regardless of the legal theory asserted, whether in contract, tort (including negligence), strict liability, statute, or otherwise, even if Acarya Labs has been advised of the possibility of such damages.

Without limiting the foregoing, Acarya Labs shall not be liable for damages arising from:

• inaccurate AI-generated responses;
• AI hallucinations;
• incorrect educational content;
• incorrect examination answers;
• AI-generated notes;
• AI-generated assessments;
• AI-generated career recommendations;
• AI-generated coding solutions;
• AI-generated translations;
• AI-generated summaries;
• AI-generated research assistance;
• automated grading;
• AI decision-support tools;
• changes to AI model behaviour;
• discontinuation of AI models; or
• reliance upon AI-generated outputs.

Users remain solely responsible for independently reviewing and verifying all AI-generated content before relying upon it.

Acarya Labs shall not be responsible for:

• User Content uploaded by Users;
• intellectual property infringement by Users;
• defamatory or unlawful content submitted by Users;
• educational materials uploaded by Teachers;
• content uploaded by Educational Institutions;
• AI prompts submitted by Users;
• communications between Users; or
• any loss arising from User-generated content.

Users assume full responsibility for all content submitted through the Platform.

The Platform may integrate with third-party providers including:

• cloud hosting providers;
• artificial intelligence providers;
• payment gateways;
• communication services;
• authentication providers;
• analytics providers;
• content delivery networks;
• storage providers;
• video conferencing platforms;
• software integrations; and
• other technology partners.

Acarya Labs shall not be liable for interruptions, outages, security incidents, data loss, service failures, pricing changes, discontinuation of services, or other acts or omissions attributable solely to third-party providers beyond the reasonable control of Acarya Labs.

Acarya Labs provides educational technology tools but does not guarantee:

• academic success;
• examination performance;
• admission to educational institutions;
• scholarship awards;
• employment opportunities;
• career advancement;
• professional certifications;
• improved grades;
• learning outcomes; or
• educational achievements.

Educational decisions remain solely the responsibility of Users, Teachers, Parents, and Educational Institutions.

To the fullest extent permitted by applicable law, Acarya Labs shall not be liable for damages arising from:

• cyberattacks;
• hacking;
• phishing;
• malware;
• ransomware;
• unauthorized access;
• credential theft;
• denial-of-service attacks;
• internet failures;
• cloud infrastructure failures;
• data corruption;
• accidental deletion;
• security incidents;
• force majeure events; or
• circumstances beyond the reasonable control of Acarya Labs.

Users are responsible for maintaining independent backups of important information.

Acarya Labs reserves the unrestricted right to:

• modify Services;
• update software;
• replace AI models;
• suspend features;
• discontinue products;
• introduce usage limits;
• modify pricing;
• remove educational content;
• change subscription plans; and
• permanently discontinue any feature or Service.

Acarya Labs shall not be liable for any loss arising from such modifications.

To the maximum extent permitted by applicable law, if Acarya Labs is found liable for any claim arising out of or relating to these Terms or the Platform, the aggregate liability of Acarya Labs shall not exceed the greater of:

(a) the total amount actually paid by the User to Acarya Labs for the specific Service giving rise to the claim during the twelve (12) months immediately preceding the event giving rise to the claim; or

(b) INR ₹5,000 (Indian Rupees Five Thousand),

whichever amount is greater.

This limitation shall apply regardless of the number of claims or legal theories asserted.

Users acknowledge that:

• the pricing of the Services;
• availability of free Services;
• subscription fees;
• AI-powered functionality; and
• the allocation of risks under these Terms

are based upon the limitations of liability contained in this Section.

The limitations contained herein constitute an essential basis of the agreement between the User and Acarya Labs.

Nothing contained in this Section excludes or limits any liability that cannot lawfully be excluded or limited under applicable law, including liability arising from:

• fraud or fraudulent misrepresentation;
• wilful misconduct;
• death or personal injury caused by negligence where applicable law prohibits exclusion;
• statutory consumer rights that cannot be waived; or
• any other liability that applicable law expressly prohibits from being excluded or limited.

To the fullest extent permitted by applicable law, Users release and discharge Acarya Labs, its affiliates, directors, officers, employees, contractors, licensors, service providers, and partners from all claims, demands, causes of action, liabilities, damages, losses, and expenses arising out of or relating to:

• the use of the Platform;
• educational decisions;
• AI-generated outputs;
• interactions with other Users;
• third-party services;
• User Content;
• cybersecurity incidents;
• service interruptions; or
• any matter addressed under these Terms,

except where such release is prohibited by applicable law.

Acarya Labs reserves all legal rights, remedies, defenses, immunities, and limitations available under applicable law.

If any portion of this Limitation of Liability is determined by a court or competent authority to be unenforceable, invalid, or contrary to applicable law, the remaining provisions shall continue in full force and effect to the maximum extent permitted by law.

The limitations and exclusions contained in this Section shall survive the suspension, termination, expiration, or discontinuation of the Platform, the Services, or these Terms.

Acarya Labs reserves the absolute, unrestricted, and sole right, at any time and for any reason or no stated reason, to modify, update, suspend, restrict, replace, discontinue, withdraw, or permanently terminate any part of the Platform or any Service, feature, product, subscription, application, website, API, artificial intelligence model, educational content, integration, or functionality, with or without prior notice to any User.

Nothing in these Terms shall be interpreted as creating any obligation upon Acarya Labs to continue offering any particular Service or feature for any specific period.

Without limitation, Acarya Labs may modify, suspend, restrict, or permanently discontinue:

• AI Tutor;
• AI Chat;
• AI Question Generator;
• AI Notes Generator;
• AI Career Guidance;
• Live Classes;
• video conferencing features;
• AI-powered educational tools;
• learning management features;
• assessments and examinations;
• certificates;
• educational content;
• cloud storage;
• APIs;
• integrations;
• mobile applications;
• websites;
• subscription plans;
• payment plans;
• free Services;
• premium Services;
• beta features;
• experimental features;
• community features; and
• any other Service or functionality made available through the Platform.

Acarya Labs may exercise its rights under this Section for reasons including, but not limited to:

• business strategy;
• technological changes;
• software upgrades;
• infrastructure migration;
• cybersecurity concerns;
• legal or regulatory requirements;
• court orders;
• government directives;
• licensing changes;
• third-party provider changes;
• operational requirements;
• product redesign;
• maintenance activities;
• security incidents;
• fraud prevention;
• financial considerations;
• low product usage;
• abuse of the Platform;
• intellectual property concerns;
• technical limitations;
• force majeure events; or
• any other reason determined by Acarya Labs in its sole discretion.

Acarya Labs shall not be required to publicly disclose the reasons for any modification or discontinuation.

Users acknowledge that access to the Platform and its Services is provided subject to Acarya Labs' continuing operational, technical, legal, and commercial decisions.

Acarya Labs makes no representation, warranty, or guarantee that:

• any Service will remain available indefinitely;
• any AI model will continue to be supported;
• any feature will remain unchanged;
• subscription plans will remain available;
• educational content will remain accessible;
• APIs or integrations will continue operating;
• previously available functionality will continue to exist; or
• discontinued Services will be restored.

Where Acarya Labs discontinues a Service, the Company may, subject to applicable law:

• suspend related User Accounts;
• disable access to affected features;
• archive or delete associated data;
• remove stored content;
• terminate subscriptions;
• discontinue cloud storage;
• revoke licenses;
• disable APIs or integrations; and
• permanently remove associated infrastructure.

Users are solely responsible for maintaining independent backups of any information they wish to preserve.

To the fullest extent permitted by applicable law, Users acknowledge and agree that they shall not be entitled to any compensation, reimbursement, refund, damages, loss of profits, loss of business opportunity, or any other form of payment solely because Acarya Labs modifies, suspends, restricts, replaces, or permanently discontinues any Service, feature, AI model, subscription, or functionality.

This provision does not limit any refund or remedy that is expressly required under applicable law or under a separate written agreement between the User and Acarya Labs.

Certain Services depend upon third-party providers, including cloud infrastructure providers, AI providers, payment processors, communication platforms, software vendors, hosting providers, and technology partners.

Where such third-party services become unavailable, are discontinued, materially change their services, or terminate their relationship with Acarya Labs, Acarya Labs may immediately suspend, modify, replace, or permanently discontinue the affected Services without prior notice.

Acarya Labs may temporarily or permanently interrupt Services for purposes including:

• maintenance;
• software upgrades;
• infrastructure migration;
• security enhancements;
• emergency repairs;
• system optimization;
• capacity management;
• regulatory compliance;
• AI model replacement;
• cybersecurity response; or
• operational requirements.

Users acknowledge that temporary or permanent interruptions may occur without advance notice where reasonably necessary.

To the fullest extent permitted by applicable law, Acarya Labs, its affiliates, directors, officers, employees, contractors, licensors, service providers, and partners shall not be liable for any direct, indirect, incidental, consequential, exemplary, special, punitive, or economic damages arising from or relating to:

• modification of Services;
• suspension of Services;
• discontinuation of Services;
• removal of Platform features;
• AI model replacement;
• deletion of content;
• deletion of stored information;
• account suspension;
• subscription changes;
• API discontinuation;
• infrastructure migration;
• loss of access;
• interruption of educational activities;
• business interruption; or
• any operational decision made by Acarya Labs pursuant to this Section.

Nothing in this Section excludes or limits liability that cannot lawfully be excluded under applicable law.

The rights granted to Acarya Labs under this Section shall survive the suspension, expiration, termination, discontinuation, or closure of the Platform, any Service, any User Account, or these Terms.

Acarya Labs reserves all rights not expressly granted under these Terms. The Company retains the exclusive authority to determine the availability, scope, pricing, functionality, operation, modification, suspension, restriction, replacement, or permanent discontinuation of any part of the Platform or Services in accordance with its business judgment, technical requirements, legal obligations, operational needs, and legitimate business interests.

Nothing contained in these Terms shall be interpreted as creating a perpetual right for any User to access or continue using any particular Service, feature, AI model, subscription plan, or functionality offered by Acarya Labs.

These Terms and Conditions, the Privacy Policy, and any dispute, controversy, claim, or legal proceeding arising out of or relating to the Platform, Services, AI Services, User Accounts, subscriptions, educational content, or the relationship between the User and Acarya Labs shall be governed by and construed in accordance with the laws of the Republic of India, without regard to any conflict of law principles.

The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) and any similar international convention shall not apply to these Terms.

Subject to the arbitration provisions contained in these Terms, the courts located in Goa, India, shall have exclusive jurisdiction over any dispute, claim, application, injunction, appeal, or legal proceeding arising out of or relating to these Terms or the use of the Platform.

Users expressly submit to the exclusive jurisdiction of the competent courts in Goa and irrevocably waive any objection based on venue, forum non conveniens, or similar grounds, to the extent permitted by applicable law.

Before initiating arbitration or legal proceedings, the parties agree to make reasonable efforts to resolve any dispute through good-faith discussions.

A party intending to raise a dispute should notify the other party in writing, providing reasonable details of the dispute and the relief sought.

Unless immediate legal relief is required, the parties shall endeavor to resolve the dispute amicably within thirty (30) days from the date of such notice.

If a dispute cannot be resolved through good-faith negotiations, the dispute shall be finally resolved by arbitration in accordance with the provisions of the Arbitration and Conciliation Act, 1996, as amended from time to time.

The arbitration shall be conducted under the following conditions:

• the seat and legal place of arbitration shall be Goa, India;
• the arbitration proceedings shall be conducted in the English language;
• the arbitration shall ordinarily be conducted before a sole arbitrator appointed by mutual agreement of the parties, failing which the appointment shall be made in accordance with applicable law;
• the arbitral award shall be final and binding upon the parties; and
• judgment upon the award may be entered and enforced by any court of competent jurisdiction.

Nothing in this Section prevents either party from seeking interim, emergency, or injunctive relief from a court of competent jurisdiction where such relief is necessary to protect legal rights pending arbitration.

Users acknowledge that unauthorized use of the Platform, infringement of intellectual property rights, misuse of confidential information, cybersecurity violations, or breaches of these Terms may cause irreparable harm to Acarya Labs for which monetary damages alone may be an inadequate remedy.

Accordingly, Acarya Labs shall be entitled to seek temporary, interim, interlocutory, or permanent injunctive relief, specific performance, or any other equitable remedy from any court of competent jurisdiction, without prejudice to any other rights or remedies available under applicable law.

To the fullest extent permitted by applicable law, any claim arising out of or relating to these Terms or the Platform must be commenced within one (1) year from the date on which the cause of action first arose or within the minimum period permitted by applicable law, whichever is longer.

Nothing in this Section limits any statutory limitation period that cannot legally be shortened.

If any provision of these Terms is held to be invalid, illegal, unenforceable, or void by a court or arbitral tribunal of competent jurisdiction, such provision shall be enforced to the maximum extent permitted by applicable law, and the remaining provisions shall continue in full force and effect.

The invalidity of any provision shall not affect the validity or enforceability of any remaining provision.

No failure or delay by Acarya Labs in exercising any right, remedy, power, or privilege under these Terms shall constitute a waiver of such right or remedy.

Any waiver shall be effective only if made expressly in writing and signed by an authorized representative of Acarya Labs.

A waiver of any breach shall not constitute a waiver of any subsequent or continuing breach.

Users shall not assign, transfer, delegate, sublicense, or otherwise dispose of any rights or obligations under these Terms without the prior written consent of Acarya Labs.

Acarya Labs may assign, transfer, novate, subcontract, or otherwise delegate any of its rights or obligations under these Terms to any affiliate, successor, purchaser, or other entity without prior notice to the User.

These Terms, together with the Privacy Policy, Cookie Policy, Acceptable Use Policy, subscription terms, and any other legal policies expressly incorporated by reference, constitute the entire agreement between the User and Acarya Labs regarding the use of the Platform.

They supersede all prior agreements, understandings, representations, communications, and proposals relating to the same subject matter.

Any provisions of these Terms which by their nature are intended to survive termination, suspension, expiration, or discontinuation of the Platform or Services, including but not limited to provisions relating to intellectual property, confidentiality, payment obligations, indemnification, limitation of liability, dispute resolution, governing law, data protection, and enforcement, shall survive such termination or expiration.

Acarya Labs reserves all legal rights, remedies, defenses, immunities, and protections available under the Constitution of India, applicable statutes, common law principles, equitable doctrines, and other applicable legal frameworks.

Nothing contained in these Terms shall be interpreted as limiting or waiving any legal right or remedy available to Acarya Labs under the laws of the Republic of India.

Subject to the dispute resolution and arbitration provisions contained in these Terms, the courts situated in the State of Goa, India, shall have the exclusive jurisdiction to hear, determine, and adjudicate any dispute, claim, controversy, action, suit, proceeding, application, appeal, or cause of action arising out of or relating to:

• these Terms and Conditions;
• the Privacy Policy;
• the Platform;
• the Services;
• AI-powered Services;
• User Accounts;
• subscriptions;
• payments;
• educational content;
• intellectual property;
• data protection;
• cybersecurity;
• or any relationship between the User and Acarya Labs.

The User irrevocably submits to the exclusive jurisdiction of the competent courts located in Goa, India.

To the fullest extent permitted by applicable law, each User irrevocably waives any objection based upon:

• lack of jurisdiction;
• improper venue;
• forum non conveniens;
• inconvenience of the forum;
• or any similar legal doctrine,

with respect to proceedings instituted before the competent courts in Goa, India.

Nothing contained in these Terms shall prevent Acarya Labs from seeking temporary, interim, interlocutory, emergency, or permanent relief, including injunctions, protective orders, specific performance, attachment orders, or any other equitable remedy before the competent courts in Goa, India, whenever such relief is reasonably necessary to:

• protect intellectual property;
• prevent unauthorized access;
• safeguard confidential information;
• preserve evidence;
• enforce contractual obligations;
• protect Platform security;
• prevent cybersecurity threats;
• prevent misuse of AI Services; or
• safeguard the legitimate business interests of Acarya Labs.

The availability of arbitration shall not prevent Acarya Labs from seeking such interim judicial relief.

Any judgment, decree, order, injunction, or arbitral award obtained under these Terms may be enforced before any court of competent jurisdiction in accordance with the laws of the Republic of India.

The parties agree to cooperate in good faith with respect to the recognition and enforcement of any final judgment or arbitral award.

Unless otherwise directed by a court, arbitral tribunal, or required under applicable law, each party shall bear its own legal fees, advocate fees, arbitration costs, and litigation expenses incurred in connection with any dispute arising under these Terms.

Nothing in this Section limits the authority of a court or arbitral tribunal to award costs, legal fees, or expenses where permitted by applicable law.

The jurisdiction provisions contained in this Section shall survive the suspension, termination, expiration, cancellation, discontinuation, or closure of:

• the User's Account;
• any subscription;
• any Service;
• the Platform; or
• these Terms and Conditions.

Acarya Labs expressly reserves all rights, remedies, defenses, immunities, and causes of action available under the laws of the Republic of India.

Nothing contained in this Section shall be interpreted as limiting the right of Acarya Labs to commence proceedings before any other court or competent authority where such proceedings are necessary for the enforcement of intellectual property rights, recovery of debts, protection of confidential information, enforcement of judgments or arbitral awards, compliance with applicable law, or where exclusive jurisdiction cannot legally be conferred upon the courts of Goa.

By accessing, registering for, browsing, downloading, installing, subscribing to, or otherwise using the Acarya Labs Platform or any of its Services, the User acknowledges that they have read, understood, and voluntarily agree to be legally bound by these Terms and Conditions, the Privacy Policy, the Acceptable Use Policy, and all other policies incorporated by reference.

Electronic acceptance shall have the same legal force and effect as a handwritten signature or the execution of a written agreement.

A User may electronically accept these Terms through one or more of the following actions:

• creating an Account;
• clicking "I Agree," "Accept," "Continue," "Sign Up," or any similar confirmation button;
• accessing or using any part of the Platform;
• purchasing a subscription;
• enrolling in a course;
• participating in Live Classes;
• using AI-powered Services;
• making a payment;
• submitting information through the Platform; or
• otherwise indicating acceptance through any electronic means provided by Acarya Labs.

Each such action constitutes the User's legally binding acceptance of these Terms.

The User agrees that electronic records, electronic communications, electronic acknowledgements, electronic signatures, digital confirmations, click-wrap agreements, browse-wrap agreements, and other forms of electronic consent shall constitute valid and enforceable legal agreements between the User and Acarya Labs.

The User waives any objection based solely upon the electronic nature of such acceptance.

The User consents to receive communications from Acarya Labs electronically, including through:

• email;
• in-app notifications;
• SMS;
• push notifications;
• dashboard notifications;
• electronic documents;
• digital invoices;
• payment confirmations;
• account notices;
• legal notices; and
• other electronic communication methods made available by the Platform.

Electronic communications shall satisfy any legal requirement that such communications be made in writing, to the extent permitted by applicable law.

Acarya Labs may maintain electronic records relating to:

• Account creation;
• login history;
• acceptance of these Terms;
• subscription purchases;
• payments;
• AI interactions;
• educational activities;
• User communications;
• policy acknowledgements;
• electronic signatures;
• consent records; and
• other Platform activities.

Such electronic records may be used as evidence in any administrative, regulatory, arbitration, or judicial proceeding to the fullest extent permitted by applicable law.

The User is solely responsible for ensuring that:

• the information provided during registration is accurate;
• the email address and mobile number associated with the Account remain current;
• they regularly review electronic communications sent by Acarya Labs;
• they maintain access to the devices and accounts used to receive such communications; and
• any authorized person using the Account has authority to accept these Terms on the User's behalf.

Failure to review or receive electronic communications shall not invalidate any notice or affect the User's obligations under these Terms where such notice has been sent using the contact details provided by the User.

The User acknowledges that these Terms and all electronic transactions conducted through the Platform are intended to comply with applicable electronic transaction and electronic records laws, including the Information Technology Act, 2000 and other applicable laws governing electronic contracts and digital communications.

Nothing in this Section shall limit the enforceability of these Terms solely because they are accepted electronically.

Acarya Labs may revise, amend, update, or replace these Terms from time to time.

Where permitted by applicable law, continued access to or use of the Platform after updated Terms become effective shall constitute the User's acceptance of the revised Terms.

Where applicable law requires additional consent, Acarya Labs may request renewed electronic acceptance before continued use of certain Services.

Where a User withdraws consent to receive legally required electronic communications, Acarya Labs may, to the extent permitted by applicable law:

• suspend or terminate the User's Account;
• discontinue access to certain Services;
• require alternative communication methods; or
• decline to provide Services that require electronic communication.

Withdrawal of consent shall not affect the validity of any electronic acceptance or communication made before such withdrawal.

Acarya Labs reserves the absolute right to determine the methods by which electronic acceptance is obtained, verified, authenticated, stored, and relied upon. The Company may introduce additional authentication mechanisms, electronic signature technologies, identity verification procedures, consent records, or security measures at any time to comply with applicable law, enhance security, or protect its legitimate business interests.

Nothing contained in this Section shall be interpreted as limiting the legal validity, enforceability, or evidentiary value of any electronic agreement, electronic signature, electronic record, or electronic communication created or maintained by Acarya Labs in accordance with applicable law.

These Terms and Conditions, together with the Privacy Policy, Acceptable Use Policy, Cookie Policy, Subscription Terms, Payment Policy, Community Guidelines, AI Usage Policies, and any other legal notices, policies, agreements, or documents expressly incorporated by reference (collectively, the "Agreement"), constitute the complete, final, and exclusive agreement between the User and Acarya Labs concerning the access to and use of the Platform and Services.

This Agreement supersedes and replaces all prior or contemporaneous understandings, agreements, negotiations, representations, warranties, communications, proposals, advertisements, correspondence, oral statements, and written arrangements relating to the same subject matter.

The User acknowledges and agrees that, in entering into this Agreement, the User has not relied upon any representation, warranty, promise, statement, advertisement, demonstration, estimate, forecast, marketing material, or assurance made by Acarya Labs or any of its employees, representatives, affiliates, agents, partners, or service providers that is not expressly set out in this Agreement.

Any information provided through demonstrations, promotional materials, sales presentations, customer support communications, webinars, or marketing content is provided for general informational purposes only and shall not constitute a legally binding representation or warranty unless expressly incorporated into this Agreement.

Acarya Labs reserves the absolute right to modify, amend, supplement, replace, or update this Agreement at any time in accordance with applicable law.

Unless otherwise required by law, updated Terms shall become effective upon publication on the Platform or on the effective date specified by Acarya Labs.

Continued access to or use of the Platform following the effective date of any revised Terms constitutes the User's acceptance of the updated Agreement.

Certain Services, enterprise offerings, educational institution agreements, API services, paid subscriptions, partner programs, or commercial arrangements may be governed by separate written agreements executed between Acarya Labs and the applicable User.

Where such a separate written agreement expressly conflicts with these Terms, the separate written agreement shall prevail solely with respect to the specific Services covered by that agreement.

All other provisions of these Terms shall continue to apply.

If any provision of this Agreement is determined by a court, arbitral tribunal, or competent authority to be invalid, illegal, unenforceable, or void, such provision shall be enforced to the maximum extent permitted by applicable law.

The remaining provisions of this Agreement shall remain valid, enforceable, and in full force and effect.

The failure or delay of Acarya Labs to exercise any right, remedy, power, or privilege under this Agreement shall not constitute a waiver of such right.

Any waiver shall be effective only if made expressly in writing by an authorized representative of Acarya Labs.

No waiver of any breach shall be deemed to be a waiver of any subsequent or continuing breach.

Any provision of this Agreement that, by its nature, is intended to survive the suspension, termination, expiration, cancellation, or discontinuation of the Platform, Services, User Accounts, or these Terms—including, without limitation, provisions relating to intellectual property, confidentiality, privacy, cybersecurity, indemnification, limitation of liability, dispute resolution, governing law, payment obligations, and enforcement—shall survive and continue in full force and effect.

The headings used in this Agreement are provided solely for convenience and shall not affect the interpretation of any provision.

Words importing the singular include the plural and vice versa where the context requires. References to "including" or similar expressions shall be interpreted as meaning "including without limitation."

Acarya Labs expressly reserves all rights, remedies, powers, privileges, defenses, and legal protections not expressly granted or waived under this Agreement.

Nothing contained in this Agreement shall be interpreted as limiting any statutory, contractual, equitable, or common law rights available to Acarya Labs under the laws of the Republic of India or any other applicable jurisdiction.

This Agreement represents the complete and exclusive understanding between the User and Acarya Labs regarding the use of the Platform and shall remain binding upon the parties unless lawfully modified or replaced by Acarya Labs in accordance with these Terms.

If any provision, clause, subsection, sentence, phrase, or part of these Terms and Conditions is determined by a court of competent jurisdiction, arbitral tribunal, or other competent authority to be invalid, illegal, unenforceable, void, or contrary to applicable law, such provision shall, to the fullest extent permitted by law, be interpreted, modified, or limited only to the extent necessary to make it valid and enforceable while preserving, as nearly as possible, the original intent of the parties.

The invalidity, illegality, or unenforceability of any provision shall not affect the validity, legality, or enforceability of the remaining provisions of these Terms, all of which shall remain in full force and effect.

Where any provision is capable of being enforced in part, that provision shall be enforced to the maximum extent permissible under applicable law, and only the unenforceable portion shall be deemed severed from these Terms.

The parties acknowledge that each provision of these Terms has been negotiated and included independently. If any provision is declared unenforceable, the remaining provisions shall continue to reflect the commercial purpose, legal intent, and allocation of rights, responsibilities, and risks originally contemplated by the parties.

Where permitted by applicable law, any invalid, illegal, or unenforceable provision may be replaced by a valid and enforceable provision that most closely reflects the original legal and commercial intent of the invalid provision.

Acarya Labs reserves the right to amend these Terms to replace or modify any invalid provision to ensure continued compliance with applicable law while preserving the overall intent of this Agreement.

The invalidity or unenforceability of any individual provision shall not:

• terminate this Agreement;
• affect any other provision of these Terms;
• invalidate any User Account;
• affect any subscription or payment obligation;
• limit Acarya Labs' legal rights or remedies; or
• impair the enforceability of any remaining contractual obligations.

The remaining provisions shall continue to bind the parties as though the invalid provision had never formed part of these Terms.

Acarya Labs reserves all rights, remedies, defenses, and protections available under applicable law. Nothing contained in this Section shall be interpreted as limiting the Company's ability to revise, replace, or amend any provision of these Terms to ensure compliance with future legal, regulatory, or judicial requirements.

The provisions of this Section shall survive the suspension, termination, expiration, or discontinuation of the Platform, the Services, any User Account, or these Terms and Conditions.

No failure, omission, delay, or partial exercise by Acarya Labs of any right, remedy, power, privilege, or legal protection under these Terms or applicable law shall operate as or be construed as a waiver of such right, remedy, power, or privilege.

• any prior course of dealing between the User and Acarya Labs.

The provisions of this Section shall survive the suspension, termination, expiration, or discontinuation of the Platform, the Services, any User Account, or these Terms and Conditions.
